AND ITS AFFILIATED DEBTORS I, Jane Sullivan, pursuant to 28 U.S.C. § 1746, hereby declare, under penalty of perjury, that the following is true and correct to the best of my knowledge, information, and belief: 1. I am Executive Vice President of Epiq Corporate Restructuring, LLC (“Epiq”), theretained claims and noticing agent and solicitation agent to the above-captioned debtors and debtors-in-possession (the “Debtors”) in the above-captioned chapter 11 cases (the “Chapter 11 Cases”), which is located at 777 Third Avenue, 12th Floor, New York, New York 10017. I am over 18 years of age and competent to testify on the matters herein. I do not have a direct interest in these chapter 11 cases. 2. I submit this declaration (the “Declaration”)2 with respect to the tabulation of votescast on the Third Amended Joint Chapter 11 Plan of CBL & Associates Properties, Inc. and Its Affiliated Debtors dated May 25, 2021 (Docket No. 1163) (as may be amended, modified, or supplemented in accordance with the terms thereof, the “Plan”). herein, all facts set forth herein are based upon my personal knowledge or my review of relevant documents. I am authorized to submit this Declaration on behalf of Epiq. If I were called upon to testify, I could and would testify competently as to the facts set forth herein. I am not being specifically compensated for this testimony, and Epiq is receiving compensation only as part of its engagement letter with the Debtors as the Debtors’ claims and noticing agent and solicitation agent retained in these Chapter 11 Cases. None of those payments are specifically payable to Epiq on account of this testimony. 3. The Court authorized Epiq’s retention as the claims and noticing agent andsolicitation agent to the Debtors pursuant to the Order Authorizing the Appointment of Epiq as Claims, Noticing, Administrative and Administrative Agent Nunc Pro Tunc to the Petition Date (Docket No. 30) (the “Epiq Retention Application”). 4. In accordance with (i) the Epiq Retention Application, and (ii) the Amended Order(I)Approving Disclosure Statement and Form and Manner of Notice of Disclosure StatementHearing, (II) Establishing Solicitation and Voting Procedures, (III) Scheduling Confirmation Hearing, (IV) Establishing Notice and Objection Procedures for Confirmation of the Proposed Plan, (V) Approving Notice Procedures for the Assumption and Assignment of Executory Contracts and Unexpired Leases, and (VI) Granting Related Relief (Docket No. 1168) (the “Disclosure Statement Order”), Epiq was appointed and authorized to assist the Debtors with, among other things, soliciting, receiving, reviewing, determining the validity of, and tabulating Ballots cast on the Plan by holders of Claims and Interests in the Voting Classes (as defined below). 5. The procedures for the solicitation and tabulation of votes on the Plan(the “Solicitation Procedures”) are outlined in the Disclosure Statement Order. Epiq, as

instructed by the Debtors, solicited, reviewed, determined the validity of, and tabulated Ballots submitted by holders of Claims and Interests in the Voting Classes in accordance with the Solicitation Procedures. I was primarily responsible for supervising any employees of Epiq who assisted with the tabulation of the Ballots received for the acceptance or rejection of the Plan. 6. Pursuant to the Plan and the Disclosure Statement Order, only holders of Claims and Interests in the following Classes (collectively, the “Voting Classes”) were entitled to vote to accept or reject the Plan:

The Disclosure Statement Order established May 13, 2021 as the record date for determining the holders of Claims and Interests in the Voting Class entitled to vote on the Plan (the “Voting Record Date”) and established July 26, 2021 at 4:00 p.m. (prevailing Central Time) as the deadline for receipt of Ballots (the “Voting Deadline”). 8. In accordance with the Disclosure Statement Order, Epiq solicited the holders of Claims and Interests in the Voting Classes as of the Voting Record Date and conducted service of the Non-Voting Notice to parties in the Non-Voting Classes. On June 10, 2021, Epiq filed its Affidavit of Service of Solicitation Materials (Docket No. 1234) (the “Solicitation Affidavit”). In accordance with the Disclosure Statement Order, Epiq also conducted service of the Release Opt Out Form on certain former debt or equity holders (such holders, collectively, the “Other

Beneficial Owners”), and Epiq filed three affidavits with respect to such service (Docket Nos. 1250, 1302, and 1346) (such affidavits, collectively, the “Opt Out Affidavits”). 9. For a Ballot to be counted as valid, the Ballot must have been properly completed in accordance with the procedures set forth in the Disclosure Statement Order. Specifically, the Ballot must have been (i) marked to either accept or reject the Plan; (ii) executed by the relevant holder, or such holder’s authorized representative, that was entitled to vote on the Plan; (iii) returned to Epiq via an approved method of delivery set forth in the Disclosure Statement Order; and (iv) received by the Voting Deadline. 10. All validly executed Ballots cast by holders of Claims and Interests in the Voting Class received by Epiq on or before the Voting Deadline were tabulated as outlined in accordance with the Disclosure Statement Order (the “Counted Ballots”).3 I declare that the results of the voting by holders of Claims and Interests in the Voting Classes are as set forth in Exhibit A hereto, which is a true and correct copy of the final tabulation of votes cast by timely and properly executed Ballots received by Epiq. Copies of all the Counted Ballots are available for inspection upon request. A list of Debtors with no Claims or Interests in any of the Voting Classes is set forth in Exhibit B hereto. 11. A report of all Ballots not included in the tabulation prepared by Epiq and the reasons for exclusion of such Ballots is attached as Exhibit C hereto.4 3 Certain Class 3 and Class 4 parties obtained advance approval to (i) submit their votes via email and (ii) have their Voting Deadline extended to July 30, 2021 at 4:00 p.m. (prevailing Central Time), and the submission of such votes was considered valid and timely, and those Ballots were included in the tabulation. One Nominee indicated that it had emailed its Class 7 Master Ballot for the Senior Unsecured Notes Claims to Epiq for receipt by the Voting Deadline; however, the Nominee included a typographical error in the email address and the Master Ballot was not transmitted to Epiq. On the morning of July 27, 2021, the Nominee re-sent the email to the correct email address, and the Master Ballot was included in the tabulation. 4 As reflected on Exhibit C hereto, a holder of Claims in Class 7 initially voted to reject the Plan with respect to certain Debtors, but subsequently withdrew its rejecting ballots.

As set forth in the Solicitation Affidavit and Opt Out Affidavits, Epiq servedinformation and instructions on electing to opt out of the Third Party Releases contained in the Plan (the “Opt Out Election”), specifically through the service of: (i) the Ballots on parties in the Voting Classes; (ii) the Notice of Non-Voting Status on holders of Claims and Interests in the non-voting Classes; and (iii) the Opt Out Form on Other Beneficial Owners. 13. Epiq has examined each Ballot and Release Opt Out Form received and recordedany Opt Out Elections. As of July 26, 2021, approximately 770 parties submitted Opt Out Elections and of those Opt Out Elections, approximately 485 were received from Other Beneficial Owners.5 For the avoidance of doubt, this declaration does not certify the validity of any Opt Out Election and is provided for reporting and informational purposes only.
