seven (7) calendar days of the filing of such notice, the Debtors may reduce the Adequate Assurance Deposit as set forth on such notice. PLEASE TAKE FURTHER NOTICE THAT on December 28, 2020 and February 9, 2021, the Court entered an order [Docket No. 564] and a supplemental order [Docket No. 735], respectively, approving the sale of substantially all of the Debtors’ assets (the “Sale”) to YF FC Acquisition LLC (the “Buyer”). As set forth in the notice [Docket No. 774] filed on February 18, 2021 the closing of the Sale has occurred. PLEASE TAKE FURTHER NOTICE THAT on January 19, 2021 and March 2, 2021, the Court entered orders [Docket Nos. 663 and 780] authorizing the rejection of certain unexpired nonresidential real property leases related to fitness clubs that have been closed following the entry of the Utilities Order. PLEASE TAKE FURTHER NOTICE THAT as a result of the Closing of the Sale and the rejection of certain unexpired nonresidential real property leases, the Debtors have either sold or closed their fitness clubs at the locations set forth on Exhibit A hereto. The Debtors have, therefore, ended their relationships with the Utility Providers set forth on such exhibit with respect to the locations and associated account numbers listed thereon. The Debtors believe they have paid the final invoices of such Utility Providers. As a result, Exhibit A includes the amount of the Adequate Assurance Deposits held with respect to each such Utility Provider. The Debtors propose that each such Adequate Assurance Deposit be reduced to $0.00. Exhibit A also notes Adequate Assurance Deposits that are held directly by the Utility Providers. Such Adequate Assurance Deposits should be returned to the Debtors.

PLEASE TAKE FURTHER NOTICE THAT pursuant to Paragraph 4.B of the Utilities Order, objections to the proposed reduction of the Adequate Assurance Deposits to $0.00 and/or the return to the Debtors of Adequate Assurance Deposits held directly by the Utility Providers, as set forth on Exhibit A, must be filed by May 14, 2021, at 4:00 p.m. (prevailing Eastern Time).
