This Declaration is submitted in connection with an Order of the United StatesBankruptcy Court for the District of Delaware, entered on December 3, 2020, authorizing the above-captioned debtors and debtors in possession (collectively, the “Debtors”) to retain and compensate certain professionals in the ordinary course of business during the pendency of the Debtors’ chapter 11 cases. 3. The Firm PROVIDED services to the Debtors prior to the filing of the Debtors’chapter 11 cases. 1 The last four digits of YouFit Health Clubs, LLC’s tax identification number are 6607. Due to the large number of debtor entities in these chapter 11 cases, a complete list of the debtor entities and the last four digits of their federal tax identification numbers is not provided herein. 4. The Debtors have requested that the Firm provide (or continue to provide) audit services to the Debtors, and the Firm has agreed to provide such services. 5. The Firm further states that it has not shared, has not agreed to share, nor will it agree to share, any compensation received in connection with these chapter 11 cases with any party or person except to the extent permitted by the Bankruptcy Code and the Bankruptcy Rules, although such compensation may be shared with any member or partner of, or any person employed by, the Firm. 9. If, at any time during its employment by the Debtors, the Firm should discover any facts bearing on the matters described herein, the Firm will supplement the information contained in this Declaration.
