3 Monthly Fee Statement (the “Monthly Fee Statement”) for allowance and payment 4 compensation for professional services rendered and for reimbursement of actual and necess5 expense incurred for the period commencing January 1, 2021 through and including January 6 2021 (the “Fee Period”) pursuant to the Order Granting Debtor’s Motion Pursuant to 11 U.S7 §§ 331 and 105(a) and Fed. R. Bankr. P. 2016 for Authority to Establish Procedures for Inte
8 Compensation Reimbursement of Expenses of Professionals, dated June 18, 2020 [Docket 9 252] (the “Interim Compensation Procedures Order”); and, in support thereof, respectf10 represents as follows:
11 1. On April 27, 2020, the Debtors filed voluntary petitions for relief under chapter12 of the United States Bankruptcy Code (the “Bankruptcy Code”) in the United States Bankrup13 Court for the Northern District of California (the “Court”).
14 2. On May 1, 2020, the Court entered an order to jointly administer the Debt15 bankruptcy cases (the “Chapter 11 Cases”).
16 3. The Debtors continue to operate their businesses and manage their properties17 debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. No tru18 or examiner has been appointed in the Chapter 11 Cases.
19 4. On May 18, 2020, pursuant to section 1102 of the Bankruptcy Code, the Offic20 the United States Trustee for the Northern District of California (the “U.S. Trustee”) appoin21 the Committee. The Committee consists of the following four members: (i) Synopsys, Inc.; 22 Avnet, Inc.; (iii) Ensilica India Pvt Ltd.; and (iv) PFIL North America Inc. On May 26, 2020, 23 Committee duly selected Hogan Lovells as counsel. On October 14, 2020, following Sinteg24 resignation from the Committee, the U.S. Trustee appointed a reconstituted Commit25 consisting of the other four members. On December 2, 2020, following PFIL’s resignation fr26 the Committee, the U.S. Trustee appointed a reconstituted Committee, consisting of Synop27 Avnet and Ensilica.

4 6. Hogan Lovells, as counsel to the Committee hereby submits its Monthly
5 Statement for allowance and payment of compensation for professional services rendered and 6 reimbursement of actual and necessary expense incurred for the period commencing Januar7 2021 through and including January 31, 2021 pursuant to the Interim Compensation Proced
8 Order.

By this Monthly Fee Statement, Hogan Lovells requests allowance and paymen10 $447,836.40 (80% of $559,795,50) as compensation for professional services rendered to 11 Committee during the Fee Period and allowance and payment of $2,607.59 (100% of the allo12 expenses) as reimbursement for actual and necessary expenses incurred by Hogan Lovells dur13 the Fee Period
14 8. Annexed hereto as Exhibit A is the name of each professional who perfor15 services for the Committee in connection with these Chapter 11 Cases during the Fee Per16 covered by this Fee Statement and the hourly rate and total fees for each professional fr17 January 1, 2021 through and including January 31, 2021.
18 9. Annexed hereto as Exhibit B is a summary of hours summary of hours during 19 Fee Period by task from January 1, 2021 through and including January 31, 2021.
