Brand, hereby declare, pursuant to section 1746 of title 28 of the United States Code, as follows: 1. Attached hereto as Exhibit A are Schedules 1.1-AL and 2.1(c) to the Asset Purchase Agreement dated March 2, 2021 by and between Tea Olive I, LLC and R.P. Acquisition Corporation (the “APA”), which were completed by the Purchaser and provided to the Debtor on March 10, 2021, and correspondence from the Purchaser confirming that it has elected not to terminate the APA. 3. Schedules 1.1(AL) and 2.1(c) set forth the contracts and leases that the Debtor proposes to assume and assign pursuant to the terms of the APA. Purchaser was able to successfully enter into leases with the parties listed below. The leases contain provisions thatrequire the Landlord to waive any claim against Tea Olive I, LLC or its bankruptcy estate in the Bankruptcy Case for anyamounts that constitute cure amounts due under 11 U.S.C. Section 365, or any claim for future damages under 11 U. S. C. Section 502 for unpaid past or future rent, fees, costs, charges, and expenses due or to become due from Tea Olive I, LLCunder the Tea Olive lease with Landlord. The leases also contain further restrictions in regard to Landlord pursuingTea Olive I, LLC or its bankruptcy estate.

Dated March 10, 2021 at 11:43 AM CST Pursuant to Section 6.7 of the Asset Purchase Agreement between Tea Olive I, LLC and R.P. Acquisition Corporation (“Purchaser”) dated March 2, 2021 (the “APA”), Purchaser hereby represents that Purchaser has attempted to negotiate new leases or amendments to existing leases with respect to each Location that Purchaser desires to designate as an Acquired Location as set forth in the Asset Purchase Agreement. Purchaser has negotiated with all due diligence and in good faith with each landlord with respect to each such Location to satisfy the Lease Contingency set forth in Section 6.7 of the APA. While Purchaser rejects leases for Elkhart IN and Marion IN, Purchaser intends to maintain operations at these locations. The leases were rejected due to the abbreviated and urgent timeline and due to items outside of the control of the Purchaser and the prospective landlords of Elkhart and Marion. Purchaser remains actively engaged in conversations with the prospective landlords at these locations and expects to reach an agreement with the prospective landlords to continue operations at those locations within the next week. While McHenry IL is not listed as an acquired location, the property located in McHenry IL is under contract for sale and Purchaser is actively engaged in discussions with the prospective new owner. Attached hereto, Purchaser delivers an updated Schedule 1.1-AL in accordance with Section 6.8(b) of the APA designating the final Acquired Locations for which Purchaser has been able to negotiate new leases. Purchaser also attaches hereto Schedule 2.1(c) Assigned Contracts, which represents the contracts which have been assigned to Purchaser pursuant to the terms of the APA. Purchaser elects not to terminate the APA, intends to fund escrow as required by the APA, and proceed to Closing consistent with the terms of the APA and pursuant to approval by the United States Bankruptcy Court for the District of Minnesota. /s/ Jason Plummer, R.P.
