IN SUPPORT OF THE APPLICATION FOR APPROVAL OF THE EMPLOYMENT OF STEWART ROBBINS BROWN & ALTAZAN, LLC AS COUNSEL TO THE OFFICIAL COMMITTEE OF UNSECURED COMMERCIAL CREDITORS, EFFECTIVE AS OF MARCH 15, 2021 I, Paul Douglas Stewart, Jr. pursuant to 28 U.S.C. § 1746, to the best of my knowledge and belief, and after reasonable inquiry, declare as follows: 1. I am a member of the law firm of Stewart Robbins Brown & Altazan LLC (“SRBA”), which maintains offices for the practice of law at 301 Main Street, Suite 1640, Baton Rouge, Louisiana 70801. 2. I am a member in good standing of the bar of the State of Louisiana and admitted to practice in the United States Bankruptcy Court for the Eastern District of Louisiana. 3. This Declaration is submitted pursuant to sections 328 and 1103 of Title 11 of the United States Code (the “Bankruptcy Code”), Rule 2014 of the Federal Rules of Bankruptcy Procedure (the “Bankruptcy Rules”), and Rule 2014-1 of the Local Bankruptcy Rules of the United States Bankruptcy Courts for the Eastern District of Louisiana (the “Local Bankruptcy 1 The last four digits of the Debtor’s federal tax identification number are 8966. Rules”) in support of the Application (the “Application”) for the Entry of an Order Approving the Retention of SRBA as counsel to the Official Committee of Unsecured Commercial Creditors of The Roman Catholic Church of the Archdiocese of New Orleans (the “Commercial Committee”), effective March 15, 2021. 4. I am familiar with the matters set forth herein and make this Declaration in support of the Application. 5. On May 1, 2020 (the “Petition Date”), The Roman Catholic Church of the Archdiocese of New Orleans (the “Debtor” or “Archdiocese”) filed a voluntary petition for relief under Chapter 11 of the Bankruptcy Code in the United States Bankruptcy Court for the Eastern District of Louisiana. 6. Since the Petition Date, the Archdiocese remains in possession of its property and is managing its business as a debtor in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. 7. On March 5, 2021, the Office of the United States Trustee filed that certain Notice of Appointment of Commercial Creditor’s Committee [Docket No. 772], appointing the Commercial Committee pursuant to section 1102 of the Bankruptcy Code, followed by a Supplemental Notice of Appointment of Unsecured Commercial Creditor’s Committee to Designate Name [Docket No. 792]. The Commercial Committee consists of the following committee members: (i) First Bank and Trust; (ii) Crescent Door & Hardware, Inc.; (iii) Brown Rice Marketing, LLC; and (iv) MetroStudio, LLC.2 2 On March 16, 2021 the Commercial Committee received a communication from counsel to TMI Trust Company (“TMI”) requesting the opportunity to join the Commercial Committee in an ex officio capacity. After careful consideration, on April 7, 2021, the Commercial Committee determined to grant TMI’s request to become an ex officio member of the Commercial Committee. For the avoidance of doubt, TMI is a non-voting member of the Commercial Committee and does not owe any fiduciary duties to unsecured creditors as a result of its ex officio seat on the Commercial Committee.

8. On March 15, 2021, the Commercial Committee held a meeting and, among other things, selected SRBA as counsel, subject to Court approval. 9. SRBA has made the following investigation of its connections prior to submitting this Declaration. SRBA has undertaken a full and thorough review of its computer database, which contains the names of clients and other parties in interest in particular matters. SRBA requires all of its professionals, before accepting the representation of a new client, or the representation of an existing client in a new matter, to perform a conflicts check through the firm’s database and to enter conflict information regarding new clients or new matters into that database. Thus, a review of said computerized database should reveal any and all actual or potential conflicts of interest with respect to any given representation. In particular, an employee of SRBA, under my supervision, entered the names of parties provided by the Debtor through the firm’s database. The parties entered in SRBA’s database with respect to the firm’s conflicts check in this Chapter 11 Case are set forth on Exhibit 1 annexed hereto. 10. Based on SRBA’s conflict check within its database, the firm has not encountered any creditors of the Debtor in which an actual conflict exists between the firm and such creditors. However, in an abundance of caution, SRBA presently represents the Official Committee of Unsecured Creditors of Castex Energy 2005 Holdco, LLC, et al. (“Castex”). At the April 5, 2021 § 341(a) Meeting of Creditors in Castex, counsel for the Debtor appeared and asked questions regarding its purported claim against Castex. SRBA has researched the facts and circumstances surrounding the Debtor’s purported claim against Castex, and finds that it does not, in fact, have a claim against Castex. Nevertheless, should issues arise in this Chapter 11 Case requiring action by the Commercial Committee that involve claims by or against Castex, SRBA will not participate

in such matters, and instead, the Commercial Committee will employ conflicts counsel to address such issues. 11. If, at any time during the course of this proceeding, SRBA learns of any representation which may give rise to a conflict, the firm will promptly file with the Court an amended declaration identifying and specifying such involvement. 12. SRBA and certain of its attorneys have represented and, in the future, will likely represent creditors of the Debtor in connection with matters unrelated to the Debtor and this Chapter 11 case. 13. SRBA represented, represents, and in the future will likely represent committees in matters unrelated to the Debtor and this Chapter 11 Case, whose members may be creditors and/or committee members in this case. 14. Based on the results of the search described above, and by making general and, when applicable, specific inquiries of SRBA personnel, insofar as I have been able to ascertain after diligent inquiry, SRBA (i) does not represent any entity having an adverse interest in connection with this Chapter 11 Case and (ii) does not represent or hold an interest adverse to the interest of the Debtor or its estate with respect to matters on which SRBA is to be employed. Moreover, SRBA is disinterested within the meaning of Section 101(14) of the Bankruptcy Code, in that neither I, SRBA, nor any of its members, counsel, or associates: a. are creditors, equity security holders or insiders of the Debtor; b. are or were within two years before the Petition Date, a director, officer, or employee of the Debtor; or

c. have an interest materially adverse to the interest of the estate or of any class of creditors or equity security holders, by reason of any direct or indirect relationship to, connection with, or interest in, the Debtor or for any other reason. 15. As a part of SRBA’s bankruptcy and corporate restructuring practice, SRBA’s clientele includes debtors, creditors and other statutory committees, institutional creditors, asset purchasers, venture capitalists, secured parties, lessors, contract parties, equity holders, directors and officers, court-appointed fiduciaries, plan sponsors, indenture trustees, and bond insurers. The Debtor have numerous creditors and other parties-in-interest. SRBA may have in the past represented and may presently or in the future represent or be deemed adverse to, creditors or parties-in-interest in addition to those specifically disclosed above in matters unrelated to this Chapter 11 Case. SRBA believes that its representation of such creditors or other parties in such other matters has not affected and will not affect its representation of the Commercial Committee in these proceedings. However, in an abundance of caution, SRBA notes that it presently represents Michael D. Warner, solely in his capacity as liquidation trustee for the KP Engineering Liquidation Trust, in case number 19-34698 in the United States Bankruptcy Court for the Southern District of Texas. On or about January 11, 2021, Mr. Warner left the firm Cole Schotz P.C. and joined the law firm Pachulski Stang Ziehl & Jones LLP, which firm represents the Official Committee of Unsecured Creditors in this case. 16. In addition to its bankruptcy and corporate restructuring practice, SRBA maintains an active corporate, business, and transactional law practice. SRBA appears in cases, proceedings, and transactions involving many different attorneys, accountants, financial consultants, and investment bankers, some of whom now or may in the future represent or be deemed adverse to claimants or parties-in-interest in these cases.

17. Except as otherwise set forth herein, insofar as I have been able to ascertain, the shareholders, counsel, associates, and staff members of SRBA do not have any connection with the Debtor, the Debtor’s officers and directors, the Debtor’s creditors, the Debtor’s equity security holders and other known parties-in-interests or their respective professionals. 18. To the best of my knowledge, information and belief formed after reasonable inquiry, neither I, nor any shareholder, special counsel, associate, or staff member of SRBA, insofar as I have been able to ascertain, is related to the bankruptcy judge assigned to the above-captioned Chapter 11 case. 19. To the best of my knowledge, information and belief formed after reasonable inquiry, neither I, nor any shareholder, special counsel, associate, or staff member of SRBA, insofar as I have been able to ascertain, has a connection to the United States Trustee or any person employed in the Office of the United States Trustee. 20. Despite the substantial efforts described above to identify and disclose potential conflicts and connections with parties-in-interest in this case, neither I nor SRBA is able to conclusively identify all potential relationships or state with absolute certainty that every client representation or other connection of SRBA has been disclosed. To the extent that SRBA discovers any facts or additional information during the period of SRBA’s retention that requires disclosure, SRBA will supplement this Declaration to disclose such information. 21. SRBA intends to apply for compensation for professional services rendered in connection with these Chapter 11 cases subject to the approval of this Court and in compliance with applicable provisions of the Bankruptcy Code, Federal and Local Bankruptcy Rules, and Orders of the Court entered in these cases concerning compensation of professionals, on an hourly

basis, plus reimbursement of actual, necessary expenses and other charges incurred by the firm. SRBA has not been paid any retainer against which to bill fees and expenses. 22. Any such adjustments will be reflected in SRBA’s fee requests.

There are no alternative fee arrangements from customary billing. Further, no professional varies his or her rate based on geographic location. 24. It is SRBA’s policy to charge its clients in all areas of practice for out-of-pocket expenses incurred in connection with the client’s case. The expenses charged to clients include, among other things, mail, and express mail, special or hand delivery, outgoing facsimiles, photocopying, scanning and/or printing, computer assisted research (which shall not be more than the actual cost incurred by SRBA in performing such research), travel, “working meals,” transcription, as well as non-ordinary overhead expenses such as secretarial and other overtime. SRBA will charge for these expenses in a manner and at rates consistent with charges made generally to its other clients. 25. The following is provided in response to the request for additional information set forth in ¶ D.1 of the Guidelines for Reviewing Applications for Compensation and Reimbursement of Expenses Filed Under 11 U.S.C. § 330 by Attorneys in Larger Chapter 11 Cases (the “Revised Guidelines”): Question: Did you agree to any variations from, or alternatives to, your standard or customary billing arrangements for this engagement? Response: No. Question: Do any of the professionals included in this engagement vary their rate based on the geographic location of the bankruptcy case? Response: No. Question: If you represented the client in the twelve (12) months prepetition, disclose your billing rates and material financial terms for the prepetition engagement, including any adjustments during the 12 months prepetition. If your billing rates and material financial terms have changed post-petition, explain the difference and the reasons for the difference. Response: SRBA did not represent the Commercial Committee before its formation.

Question: Has your client approved your prospective budget and staffing plan, and, if so, for what budget period? Response: The Commercial Committee is aware of the proposed rates to be charged by SRBA, as well as who will primarily work on the file. The Commercial Committee is further aware of limitations on this case due to circumstances, including but not limited to the Debtors’ operations, and use of funds alleged to be subject to the security interest of other creditors. The Commercial Committee and its professionals reserve all rights to seek approval of Commercial Committee professional fees. 26. SRBA intends to make a reasonable effort to comply with the U.S. Trustee’s requests for information and additional disclosures as set forth in the Appendix B of the Revised Guidelines, both in connection with the Application and the interim and final fee application be filed by SRBA in this Chapter 11 case. 27. No promises have been received by SRBA nor any member, counselor, or associate thereof as to compensation in connection with this case other than in accordance with the provisions of the Bankruptcy Code. 28. No agreement exists, nor will any be made, to share any compensation received by SRBA for its services with any other person or firm. 29. SRBA will abide by the terms of any administrative order establishing procedures for professional compensation and reimbursement entered in this case.
