1 I. 2 INTRODUCTION 3 This is the second interim application for compensation and reimbursement of 4 expenses (the “Fee Application”) of Nardell Chitsaz & Associates LLP (the “Applicant”) 5 as special commercial real estate counsel for Professional Financial Investors, Inc. (“PFI”)6 Professional Investors Security Fund, and the other affiliates of PFI identified on Exhibit 7 (collectively, the “Debtors”) in the above-captioned jointly administered bankruptcy cases8 (the “Bankruptcy Cases”). 9 By way of this Fee Application, the Applicant seeks an order of the Court (i) 10 granting interim approval of compensation and reimbursement of expenses incurred by th11 Applicant as special commercial real estate counsel for the Debtors for the period from 12 December 1, 2020 through April 30, 2021 (the “Application Period”), totaling $11,505 13 consisting of professional fees of $11,025 and expenses of $480, (ii) authorizing and 14 directing the Debtors to make prompt payment to the firm of a total of $9,300, which 15 amount represents 80% of all fees requested in the Application and 100% of all expenses 16 requested in the Application, and (iii) granting such other and further relief as the court 17 may deem just and proper. 18 This is the Applicant’s second application for compensation in the Bankruptcy 19 Cases. On February 10, 2021, this Court entered an order approving Applicant’s first 20 interim application for compensation and reimbursement of expenses incurred during the 21 period from July 26, 2020 through November 30, 2020, which totaled $1,395.00 (the “Firs22 Interim Fee Order”). 23 This Fee Application is made pursuant to sections 330 and 331 of title 11 of the 24 United States Code (the “Bankruptcy Code”) and Rule 2016 of the Federal Rules of 25 Bankruptcy Procedure (the “Bankruptcy Rules”). Except as otherwise noted, the 26 Applicant believes this Fee Application substantially conforms with the United States 27 Trustee’s guidelines (the “Trustee’s Guidelines”) for compensation and expense

1 District of California’s Guidelines for Compensation and Expense Reimbursement of 2 Professionals and Trustees (the “Northern District Guidelines”). 3 The request for relief set forth in this Fee Application is supported by this Fee 4 Application, the declaration of J. Timothy Nardell filed in support of this Fee Application 5 (the “Declaration”), the hearing notice filed concurrently with the Fee Application, and all6 related documents and pleadings previously filed in the Bankruptcy Cases or that may be 7 filed prior to the hearing on the Fee Application. 8 II. 9 SUMMARY OF SERVICES RENDERED 10 The Debtors employed the Applicant for commercial real estate matters and 11 disputes involving Debtors’ commercial real estate. 12 During the Application Period, the Applicant prosecuted a case in state court 13 against a former commercial tenant at a property owned by Professional Investors 26 LLC14 and managed by Professional Financial Investors, Inc.; prosecuted an unlawful detainer 15 case against a commercial tenant at the property owned and managed by Professional 16 Financial Investors, Inc.; and was available to provide commercial real estate advice and 17 counsel on an as-needed basis. 18 III. 19 RELIEF REQUESTED AND BASIS FOR RELIEF 20 The Applicant seeks an order of the Court (i) granting interim approval and 21 allowance of compensation totaling $11,505 consisting of total professional fees of 22 $11,025 and expenses of $480.00 incurred by the Applicant during the Application Period23 in its representation of the Debtors, (ii) authorizing and directing the Debtors to make 24 prompt payment to the firm of a total of $9,300.00 which amount represents 80% of all 25 fees requested in the Application and 100% of all expenses requested in the Application, 26 and (iii) granting such other and further relief as the court may deem just and proper. 27 In view of the time expended, the responsibilities assumed, and the reputation and

1 represents the reasonable value of the services rendered on behalf of the Debtors. The 2 Applicant believes that the services rendered were necessary, and that the attorney’s fees 3 requested constitute reasonable and necessary fees. 4 IV. 5 GENERAL BACKGROUND 6 For a general discussion of the Debtors’ background, please refer to section IV of 7 the Second Interim Application of Sheppard, Mullin, Richter & Hampton LLP for 8 Allowance of Compensation and Reimbursement of Expenses Incurred as Counsel for 9 Debtors filed concurrently with this Application (the “Second Interim Sheppard Mullin 10 Fee Application”), which discussion is incorporated as if fully set forth herein. 11 V. 12 SUMMARY OF MAIN EVENTS 13 The following is a summary of the main events that occurred during the pendency 14 of the Bankruptcy Cases and are related to this Application. 15 A. Motion to Employ the Applicant 16 On August 25, 2020, the Debtors filed their application to employ the Applicant 17 (the “Employment Application”). On October 6, 2020, this Court entered its Order 18 approving the Employment Application. 19 B. Counsel Regarding Commercial Real Estate Legal Matters 20 During the Application Period, the Applicant has been available to render 21 commercial real estate advice and counsel and to represent the Debtors in any disputes 22 with commercial tenants at properties that Debtors own. 23 During the Application Period continued with the prosecution of a case in state 24 court entitled Professional Investors 26, LLC v. Automated Media Processing Solutions, 25 Inc., Marin County Superior Court, Case No. CIV 2000869. Significant events during th26 Application Period in that matter included ongoing case management obligations, 27 responding discovery propounded by the tenant, and attending a court ordered mediation.

1 commercial unlawful detainer case for non-payment of rent in a state court case entitled 2 Professional Financial Investors, Inc. v. Stenberg Newton CPAs, Marin County Superior 3 Court, Case No. CIV 2101049, which work included analysis of claim, communications 4 with the client representatives about the dispute, and the preparation and filing of an 5 unlawful detainer complaint. 6 VI. 7 CASE STATUS 8 For a discussion of the status of the Debtors’ cases, please refer to section VI of the9 Second Interim Sheppard Mullin Fee Application filed concurrently with this Application,10 which discussion is incorporated as if fully set forth herein. 11 VII. 12 RETENTION AND PRIOR COMPENSATION 13 On August 25, 2020, the PFI and PISF filed the Employment Application seeking 14 Court approval of the Applicant’s retention, with compensation at the expense of the 15 Debtors’ estate and in such amounts as this Court may allow. In the Application, the 16 Applicant stated that it would render services to the Debtors at the Firm’s standard rates. 17 This Court approved the Applicant’s retention by PFI and PISF pursuant to its orde18 entered on October 6, 2020. This Court approved the Applicant’s retention by the other 19 Debtors set forth on Exhibit A pursuant to its order entered on January 19, 2021. 20 On January 21, 2021, the Applicant submitted its First Interim Application of 21 Nardell Chitsaz and Associates for Allowance of Compensation and Reimbursement of 22 Expenses Incurred as Special Counsel for Debtors as Dkt. No. 356, which covered the 23 period from July 26, 2020 through November 30, 2020. This Court approved such 24 application pursuant to the First Interim Fee Order entered on February 2, 2021 as Dkt. N25 399, and to date the Applicant has been paid a total of $1,116.00 by the Debtors (i.e., 80%26 of the fees and 100% of the expenses approved and allowed on an interim basis under the 27 First Interim Fee Order).

1 VIII. 2 EXHIBITS 3 The Exhibits attached to this Fee Application are as follows: 4 A list of the Debtors and the date each (i) filed or consented to their respective 5 Chapter 11 petition, (ii) retained the Applicant, and (iii) obtained an order of this Court 6 approving the Applicant’s retention, is attached as Exhibit A. 7 A copy of the Employment Order is attached as Exhibit B and a copy of the First 8 Interim Fee Order is attached as Exhibit C. 9 A detailed statement (the “Statement”) of the services the Applicant performed and10 the out-of-pocket expenses the Applicant incurred during the Application Period is set 11 forth on Exhibit D. The Statement sets forth the Applicant’s time and expense records as 12 kept in the ordinary course of the Applicant’s business, and contains the following 13 information: the names of each professional performing services, the description of the 14 services, and the amount of time incurred for their services. The Statement is organized in15 chronological order as required by the Guidelines. Because the Applicant only incurred 16 fees of $11,025 during the Application Period, the Applicant has not separated the 17 Statement by billing categories for each task or matter. A summary of the professional 18 fees incurred by each professional performing services, the hourly rate, the amount of tim19 spent and related fees, is set forth in the Statement. 20 A copy of a letter to the Debtors, forwarding a copy of this Fee Application and 21 inviting discussion, questions, comments, concerns, or objections to the Fee Application, i22 attached as Exhibit E. 23 IX. 24 SUMMARY OF PROFESSIONAL SERVICES RENDERED 25 The Applicant’s attorneys spent approximately 24.5 hours in performing the 26 services described in this Application at an average approximate billing rate of $450 27 Exhibits A through C of this Fee Application provide the information required under the

1 Period, the Applicant has not categorized its time records into separate Project Billing 2 Categories. The services Applicant rendered to the Debtors during the Application Period3 primarily relate to the Applicant’s efforts to the continued prosecution of a case for unpaid4 rent against a former commercial tenant in state court and the prosecution of an eviction 5 case against a tenant for failure to pay rent when due in state court. 6 X. 7 EXPENSE REIMBURSEMENT 8 The Applicant seeks an expense reimbursement of $480 incurred in the prosecution9 of an eviction action. Of this amount $95 was incurred for service of process and $395 10 was incurred for court filing fees. 11 XI. 12 CONCLUSION 13 WHEREFORE, the Applicant prays that the Court enter an order: 14 1. Granting interim allowance and approval of compensation to the Applicant15 totaling $11,505 consisting of $11,025 in professional fees and $480.00 in expenses, whic16 amounts were incurred by the Applicant during the Application Period; 17 2. Authorizing and directing the Debtors to make prompt payment to the18 Applicant of a total of $9,300 which amount represents 80% of all fees requested in the 19 Application and 100% of all expenses requested in the Application; and 20 3. 1 The Court, having considered the Debtors’ Application for Order Authorizing 2 Employment of Nardell Chitsaz & Associates as Special Real Estate Counsel (the 3 "Application"), filed by Professional Financial Investors, Inc. (“PFI”) and Professional 4 Investors Security Fund, Inc. (“PISF” and, together with PFI, the “Debtors”) on August 25 2020 as Docket No. 81, and the accompanying declarations in support thereof, and finding6 that notice of the Application is sufficient under the circumstances, and good cause 7 appearing therefor, 8 IT IS HEREBY ORDERED THAT: 9 1. The Application is APPROVED. 10 2. The Debtors are authorized to employ Nardell Chitsaz & Associates 11 (“NCA”) as their special real estate counsel under Bankruptcy Code section 327(e) 12 effective as of July 26, 2020. 13 3. NCA is authorized to perform the services described in the Application. 14 4. NCA shall be compensated as an expense of administration pursuant to 15 sections 507(a) and 503(b) of the Bankruptcy Code and in accordance with sections 330 16 and 331 of the Bankruptcy Code, the applicable Bankruptcy Rules, the rules of this Court,17 and such other procedures as may be fixed by further order of this Court. The Application is APPROVED. 26 2. The LLC/LP Debtors are authorized to employ Nardell Chitsaz & Associate27 (“NCA”) as special commercial real estate counsel under Bankruptcy Code section 327(e)

NCA is authorized to perform the services described in the Application, and2 compensation for such services shall be paid from the LLC/LP Debtors’ estates in such 3 amounts and at such times as the Court may hereafter allow. 4 4. NCA shall be compensated as an expense of administration pursuant to5 sections 507(a) and 503(b) of the Bankruptcy Code and in accordance with sections 330 6 and 331 of the Bankruptcy Code, the applicable Bankruptcy Rules, the rules of this Court,7 and such other procedures as may be fixed by further order of this Court. The Court’s 8 Guidelines for Compensation and Expense Reimbursement of Professionals and Trustees 9 shall apply to the retention and compensation of NCA in these cases. For the avoidance of10 doubt, NCA’s hourly rates are not being approved under Section 328(a). 11 5. NCA may apply to the Court not more than once every 120 days for12 compensation for services rendered or reimbursement for expenses incurred. 13 6. Notwithstanding the provisions of the Agreement Regarding Formation,14 Role, and Compensation of the Ad Hoc Committees (the “Agreement”) by and among the 15 Debtors, Official Committee of Unsecured Creditors (the “OCUC”), ad hoc committee of 16 deed of trust noteholders (the “Ad Hoc Committee of DOT Noteholders”), and ad hoc 17 committee of limited liability company members (collectively with the OCUC and the Ad18 Hoc Committee of DOT Noteholders, the “Committees”), including provisions regarding 19 the payment of professional fees by the Debtors, any allocation of the professional fees 20 between and among the Original Debtors and the LLC/LP Debtors and between and 21 among the Original Debtors, the LLC/LP Debtors, and their non-debtor affiliates shall be 22 subject to either (1) agreement of the parties to the Agreement, as approved by the Court o23 (2) further order of the Court upon duly noticed motion or application.
