BLUMENSTIEL, UNITED STATES BANKRUPTCY JUDGE: 5 Sklar Kirsh, LLP (“SK” or “Firm”), counsel to the Ad Hoc Committee of LLC Members 6 (the “LLC Committee”),1 in the jointly administered chapter 11 cases of the above-captioned 7 debtors and debtors-in-possession (collectively, the “Debtors”),2 hereby submits its second interi8 application (this “Application”), seeking entry of an order pursuant to: (i) sections 330 and 331 of9 title 11 of the United States Code, 11 U.S.C. §§ 101–1532 (as amended, the “Bankruptcy Code”); 10 (ii) Rule 2016 of the Federal Rules of Bankruptcy Procedure (as amended, the “Bankruptcy 11 Rules”); (iii) the “Order Approving Debtors’ Agreement with Ad Hoc Committees and Authorizin12 Debtors to Pay Fees and Expenses of Ad Hoc Committees’ Professionals Pursuant to 11 U.S.C. § 13 363(b)” entered by the Court on October 6, 2020 [Docket No. 177] (the “AHC Formation Order”)14 (v) the United States Trustee’s Guidelines for Reviewing Applications for Compensation and 15 Reimbursement of Expenses by Attorneys in Larger Chapter 11 Cases, effective November 1, 16 2013 (the “UST Guidelines”); (vi) the Bankruptcy Local Rules for the Northern District of 17 California (the “Local Rules”); and (vii) the Guidelines for Compensation and Expense 18 Reimbursement of Professionals and Trustees for the Northern District of California, updated 19 20 21 1 The LLC Committee is composed of, and advocates on behalf of, the group of investors who invested in thirty-one limited liability companies (“LLCs”) formed and controlled by Professional22 Financial Investors, Inc. (“PFI”). The facts and circumstances of the formation of: (i) the LLC 23 Committee, including the composition of the investors on whose behalf it advocates in these bankruptcy cases, (ii) the Official Committee of Unsecured Creditors, and (iii) the Ad Hoc 24 Committee of Deed of Trust Holders (collectively, (i), (ii) and (iii) are referred to as the “Committees”), is set forth in further detail in the “Debtors' Motion for Order Approving 25 Agreement with Ad Hoc Committees and Authorizing Debtors to Pay Fees and Expenses of Ad Hoc Committees’ Professionals Pursuant to 11 U.S.C. § 363(b)” [Dkt. 1 February 19, 2014 (the “Local Guidelines” and together with the UST Guidelines, the “Fee 2 Guidelines”). 3 By this Application, SK requests entry of an order allowing, on an interim basis, and 4 authorizing payment of, fees and expenses incurred by SK during the period from December 1, 5 2020 to April 30, 2021 (the “Fee Period”) in the aggregate amount of $474,351.45, consisting of: 6 (i) compensation for professional services rendered in the aggregate amount of $474,098.50; and 7 (ii) reimbursement of actual and necessary expenses incurred by SK in connection with such 8 services during the Fee Period in the aggregate amount of $252.95. The amount of fees sought in 9 this Application also reflects a voluntary reduction in the aggregate amount of $51,536.50, for a 10 total percentage reduction of approximately 10% compared to fees actually billed during the Fee 11 Period, consisting of: (i) a $28,129.50 reduction based on an agreed reduction in certain hourly 12 rates; and (ii) an additional $23,407.00 in fees voluntarily discounted from the monthly invoices.313 In support of this Application, the following exhibits are attached hereto, and made part 14 hereof: 15 Exhibit A Certification of Robbin L. Itkin attached hereto as Exhibit A), 7 the pleadings, papers, and records on file in these bankruptcy cases, and any evidence or argumen8 that the Court may entertain at the time of the hearing on the Application. 9 On a monthly basis, SK provides the LLC Committee the Firm’s monthly invoice for the 10 prior month period, and after reviewing each of the monthly invoices for the Fee Period, the LLC 11 Committee has approved such invoices. In addition, pursuant to the Fee Guidelines, a cover letter12 enclosing this Application is being sent to the Chairpersons of the LLC Committee concurrently 13 with the filing of this Application. The letter invites the Chairpersons to discuss with SK and/or 14 the Office of the United States Trustee any objections, concerns or questions the Chairpersons 15 may have regarding the requested compensation and reimbursement set forth in the Application. 16 A copy of the cover letter is attached hereto as Exhibit C. 17 INTRODUCTION 18 The LLC Committee has played a critical and active role in accomplishing an expeditious,19 yet amicable, resolution of these chapter 11 cases that maximizes the value of these estates for the20 benefit of the victims of this Ponzi scheme. To that end, during the Fee Period, SK, as counsel to 21 the LLC Committee, spent the vast majority of its time negotiating with the Debtors and working 22 with the LLC Committee and the other Committees to prepare, file and confirm a consensual plan23 of reorganization (the “Plan”). The hearing on confirmation of the Plan was held on May 27, 24 2021, and an order confirming the Plan was entered on the Court’s docket on June 9, 2021 [Dkt. 25 No. 678] – all less than nine (9) months from when the LLC Committee was formed. 26 In meeting this aggressive timeline, SK utilized just two (2) attorneys during the Fee 27 Period experienced in complex bankruptcy cases such as these cases. To avoid any duplication of

1 issues that arose in connection with the intense and fast-paced Plan negotiations. As a result of 2 these efforts, and similar efforts exerted by all of the professionals in these cases, the Debtors and 3 the Committees were able to reach a global resolution and propose a Plan in record time for a 4 Ponzi scheme of this size and duration. 5 RELEVANT BACKGROUND 6 A. The Bankruptcy Filings and Formation of the Committees 7 1. Following the receipt of a June 4, 2020 notice from PFI and PISF informing 8 investors that interest payments were on hold and that the Securities & Exchange Commission (th9 “SEC”) was being consulted, approximately seventy (70) investors organized their first all 10 investor organizational meeting on June 11, 2020. 11 2. On July 16, 2020, various petitioning creditors of PISF commenced an involuntary12 chapter 11 bankruptcy action against PISF, Case No. 20-30579 (the “PISF Case”). On July 26, 13 2020, PISF filed a consent to the entry of an order for relief in the PISF Case, which this Court 14 entered on July 26, 2020 [Dkt. No. 8]. On July 26, 2020, PFI also commenced its bankruptcy 15 case, Case No. 20-30604, by filing a voluntary chapter 11 petition and seeking joint administratio16 with the PISF Case, which this Court granted on July 27, 2020 [Dkt. No. 12]. 17 3. Following these initial bankruptcy filings, investors continued to organize weekly 18 meetings, inviting investors by word of mouth and social media, to provide all affected investors 19 forum to raise questions and concerns, as well as to share thoughts and ideas, including, without 20 limitation, thoughts and ideas on how to proceed in the best interests of all investors. By July 23, 21 2020, the investors had organized themselves into subgroups to ensure that all investment types 22 were adequately represented, and organized weekly meetings for each of these groups, attended b23 hundreds of investors, to allow for the same sharing of information and ideas particular to each 24 investment type. 25 4. On August 19, 2020, the United States Trustee appointed the official committee of 26 unsecured creditors (the “OCUC”) for the bankruptcy cases of PFI and PISF, pursuant to section 27 1102 of the Bankruptcy Code.

1 5. Within a few weeks after PFI filed for bankruptcy, investors comprised of member2 of the LLCs: (i) asked their respective members for volunteers to serve on an ad hoc committee, 3 and from approximately twenty (20) members that volunteered, the current LLC Committee 4 members were selected to serve on the LLC Committee; and (ii) engaged in an extensive intervie5 process to select prospective counsel in anticipation of forming an ad hoc committee to advocate 6 on behalf of their interests and advise such ad hoc committee in connection with the bankruptcy 7 cases. 8 6. The ten (10) members of the LLC Committee include: (i) Rama Sethi-Gulati 9 (Chair); (ii) The Gangaji Retirement Foundation, Barbara Joan Denempont as trustee (Vice-10 Chair); (iii) Bruce Riezenman; (iv) Cheryl Reinhardt; (v) Douglas Korb; (vi) Ted Turina; (vii) Jim11 Adams; (viii) Jeff Kaus; (ix) the Jonathan C. Marmelzat Revocable Trust, Jonathan Marmelzat as 12 trustee; and (x) Francesca McCartney, who serves as an ex officio member (collectively, the 13 “Committee Members”). The Committee Members are acting in concert to specifically advance 14 their common interests as investors in the LLCs and to advocate in the above-captioned 15 bankruptcy cases on behalf of other similar investors in the LLCs (collectively, the “LLC 16 Members”). 17 7. On November 20, 2020, February 3, 2021 and February 4, 2021, PFI filed 18 involuntary chapter 11 petitions against certain of its affiliated entities. Pursuant to an order 19 entered by this Court on November 19, 2020 [see Dkt. No. 260], PFI, as the general manager or 20 general partner of each of these affiliated entities, filed a Consent to Entry of Order for Relief in 21 each of the involuntary chapter 11 cases that it initiated. On December 11, 2020 and February 18,22 2021, respectively, orders for relief were entered in each of the involuntary cases. The Debtors’ 23 chapter 11 cases are jointly administered under Case No. 20-30604. 24 8. Each of the Debtors continues to operate its respective business as a debtor in 25 possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. 26 B. The Compensation Agreement for the Ad Hoc Committees’ Professionals 27 9. At an official meeting of the LLC Committee on August 21, 2020, at which all

1 connection with the then pending bankruptcy cases of PFI and PISF. SK was retained to provide 2 the full range of services required to represent the LLC Committee and promote its interests in the3 course of these bankruptcy cases. In connection with SK’s retention, SK provided an estimated 4 budget (the “Estimated Budget,” a copy of which is attached hereto as Exhibit D) to the LLC 5 Committee setting forth the range of anticipated fees that SK would likely incur in connection 6 with its engagement by the LLC Committee, subject to on-going negotiations with the Debtors an7 the OCUC regarding the formation and compensation of the Ad Hoc Committees in these 8 bankruptcy cases. 9 10. After several weeks of negotiation with the OCUC and the Debtors, the Debtors 10 and the Committees entered into an “Agreement Regarding Formation, Role, and Compensation 11 of the Ad Hoc Committees” (the “AHC Formation Agreement”) [see Dkt. No. 126]. The AHC 12 Formation Agreement provides for, among other things, the appointment and compensation of 13 both the LLC Committee and DOT Committee and their professionals. With respect to such 14 compensation, the AHC Formation Agreement provides in relevant part that: 15 Debtors agree to pay, as administrative expenses of the estates, the reasonable and documented expenses of Sklar Kirsh, BakerHostetler and any other lawyer or 16 consultant engaged by the Ad Hoc Committees in contemplation of their services hereunder incurred on and after the Petition Date; provided, however, that, 17 notwithstanding any other provision in this Agreement, any expenses incurred by 18 counsel to either of the Ad Hoc Committees in connection with the initiation of any adversary proceeding, action or other lawsuit relating to the validity or priority of the 19 claims of their respective constituents shall not be payable from the Debtors’ estates. Debtors and the OCUC acknowledge and consent to: (i) the Ad Hoc Committee of 20 LLC Members’ engagement of Sklar Kirsh and an all-in professional budget for the Ad Hoc Committee of LLC Members of $1,200,000 for the period from August 21, 21 2020 (the “Petition Date”) through May 31, 2021; and (ii) the Ad Hoc Committee of 22 DOT Noteholders’ engagement of BakerHostetler with an all-in professional budget for the Ad Hoc Committee of DOT Members of $1,200,000 from the Petition Date 23 through May 31, 2021; provided, however, that the fee budget may be increased, upon agreement of the Debtors and the OCUC or, if no such agreement is reached, 24 approval of the Court after notice and a hearing, based on a showing of substantial contribution in the Bankruptcy Case. 25 11. The AHC Formation Agreement was approved by order of the Court on October 6,26 2020 [Dkt. No. 177]. 27

1 C. Additional Background Facts and Current Status of the Bankruptcy Cases 2 12. The Declaration of Michael Hogan in Support of the Bankruptcy Filing and Early 3 Case Administration Motions, filed on July 26, 2020 [Dkt. No. 5], contains a detailed discussion 4 of the Debtors’ background, capital structure, and the events leading to their chapter 11 cases and 5 is incorporated in this Application as though fully set forth herein. Likewise, as permitted in the 6 Local Guidelines, SK incorporates by reference the narrative history and current status of the 7 bankruptcy cases furnished in the applications contemporaneously filed by the Debtors’ 8 professionals. 9 SUMMARY OF PROFESSIONAL SERVICES RENDERED AND VOLUNTARY DISCOUNTS PROVIDED DURING THE FEE PERIOD 10 11 13. This is SK’s second interim fee application filed in these bankruptcy cases. To 12 date, SK has not received a retainer and has not otherwise been paid any amounts for the services 13 rendered and costs incurred in connection with its representation of the LLC Committee. Pursuan14 to the AHC Formation Order, SK is not, and will not be, seeking interim payment through 15 monthly fee applications, but rather will be filing interim fee applications not more than once 16 every 120 days. 17 14. By this Application, and after applying all voluntary discounts and deductions in 18 the aggregate amount of $51,536.50, SK seeks compensation for professional services rendered 19 during the Fee Period in the aggregate amount of $474,098.50 on account of 676.50 hours spent 20 by SK professionals performing the services described in this Application, at an average blende21 rate of $653.03. A chart showing the name of each relevant professional or paraprofessional who22 has worked on these bankruptcy cases during the Fee Period, the aggregate time invested by each 23 individual, the applicable hourly billing rate, and the amount of fees attributable to each 24 individual, as well as the hours and time spent by position is attached hereto as Exhibit E. 25 15. The biographies of the SK attorneys and paraprofessionals who have worked on 26 this matter during this Fee Period and a description of their professional experience and education27 are attached hereto as Exhibit L. SK has no understanding, agreement, or arrangement of any kin

1 shared among members of the Firm. 2 16. Annexed hereto as Exhibit F is a summary and comparison of the aggregate 3 blended hourly rates billed by SK’s timekeepers to non-bankruptcy matters during the preceding 4 twelve month period and the blended hourly rates billed to the Debtors during the Fee Period. 5 17. Although SK discussed its estimated aggregate fees for the entire nine (9) month 6 budgeted period with the LLC Committee separately in connection with SK’s retention, at the 7 outset of these cases, SK and the LLC Committee engaged in negotiations and discussions with 8 the other Committees, the Debtors and counsel for the SEC regarding the formation and 9 compensation of the LLC Committee and its professionals. Such negotiations ultimately resulted 10 in the development of an agreed to framework for the LLC’s formation and role in these cases, a 11 temporary standstill agreement to allow breathing room to negotiate a consensual resolution 12 among the investor constituents, and an aggregate all-in professional budget for each of the Ad 13 Hoc Committees of $1.2 million for work performed by each Ad Hoc Committee through May 3114 2021. Based on these negotiations and the ultimate resolution regarding SK’s compensation in 15 these bankruptcy cases, the estimated budget provided to the LLC Committee and the fee budget 16 agreed to in the AHC Formation Agreement, as approved by the Court, only contemplates fees in 17 the aggregate for a nine (9) month period (i.e., the anticipated period it would take to negotiate an18 confirm a plan in these cases), and does not provide any month-to-month allocation or breakdown19 18. The LLC Committee is aware of the complexities of these cases, the many issues t20 be addressed, the various disciplines involved, and that the types and scope of services to be 21 provided are dynamic and based on a number of factors, many of which are unpredictable, 22 including the activities of other parties in interest in these cases. Moreover, SK has provided the 23 LLC Committee its outstanding invoices each month during the Fee Period, and the LLC 24 Committee has approved those invoices. 25 19. Attached hereto as Exhibit G is a chart comparing the actual fees incurred during 26 the Fee Period to those budgeted for the cases. As set forth in Exhibit G, the fees sought in this 27 Application are less than the negotiated and Court-approved budgeted amount. Pursuant to the

In light of the nature of these bankruptcy cases and the interests that SK represents,2 as further described above, SK agreed at the outset of these cases to reduce its already very 3 competitive standard hourly rates of the bankruptcy counsel primarily responsible for providing 4 services to the LLC Committee from $895 to $840 per hour for Robbin Itkin and from $575 to 5 $550 per hour for Kelly Frazier, resulting in savings of $28,129.50 to the estates for the Fee 6 Period. In addition to such hourly rate discount, SK also provided additional discounts to the LL 7 Committee in the monthly invoices totaling $23,407.00, for an aggregate voluntary reduction of 8 $51,536.50 during the Fee Period. SK also agreed not to raise the 2020 rates of its professionals 9 billing services to these cases for 2021. 10 PROJECT BILLING AND NARRATIVE STATEMENT OF SERVICES RENDERED 11 21. In accordance with the Local Guidelines and the Local Rules, SK classified all 12 services performed for which compensation is sought into project categories. A schedule of the 13 project categories to which SK’s professionals billed time during the Fee Period and amounts for 14 which compensation is requested in each category is attached hereto as Exhibit I. 15 22. The following is a brief description of the principal activities of SK’s professionals16 during the Fee Period for each project category, consistent with the requirements of section 17 C(8)(c) of the UST Guidelines and section I.3 of the Local Guidelines. The following summary o18 services rendered during the Fee Period is not intended to be a detailed description of the work 19 performed. Rather, it merely highlights certain billing project categories in which services were 20 rendered by SK, as well as identifies some of the issues SK was required to address. Detailed 21 descriptions of the day-to-day services provided by SK and the time expended performing such 22 services in each project billing category are attached hereto as Exhibit K. Such detailed 23 descriptions demonstrate that SK was heavily involved in the performance of services for the LL24 Committee on a daily basis, including night and weekend work, often under extreme time 25 constraints, to meet the needs of the LLC Committee. 26 23. For each project category, the narrative summary provides a description of the 27 services rendered in that category, their necessity and benefit to the estates, and the current status,

1 relates to the service provided, because certain services in the Debtors’ chapter 11 cases may 2 affect multiple categories, services pertaining to one category may occasionally be included in 3 another category, but are not duplicative. 4 24. Per the AHC Formation Agreement, the role and scope of work envisioned for the 5 LLC Committee is limited by agreement of the Committees and Debtors, as approved by this 6 Court. Specifically, the formation of the two Ad Hoc Committees ensures an active and 7 meaningful seat at the table for all affected interest holders to facilitate cooperation, maximize 8 value to creditors, and minimize costs and duplication of effort. The formation of the Ad Hoc 9 Committees, in conjunction with the OCUC, has provided the Debtors with a cost-effective 10 opportunity to engage in meaningful and productive negotiations with much more manageably 11 sized groups that advocate for the differing constituents that comprise nearly the whole investor 12 group. 13 25. The cooperation, coordination and transparency among the various constituent 14 groups resulted in the avoidance of unnecessary and wasteful litigation, and the efficient and 15 expedient confirmation of a Plan in these cases. To accomplish the ambitious goal of confirming 16 Plan within a nine (9) month period, counsel for the LLC Committee spent the vast majority of its17 time and resources focused on meeting with the various creditor constituents and negotiating the 18 terms of a confirmable Plan. In addition, as demonstrated in the detailed time entries set forth in 19 Exhibit K, SK not only concentrated its resources so that only two (2) seasoned bankruptcy 20 attorneys, with the assistance of one (1) paralegal, were working on the cases during the Fee 21 Period, but these two (2) attorneys strategically coordinated their efforts to allocate the issues and 22 projects needed to negotiate and confirm a Plan between the two of them to avoid unnecessary 23 duplication of work. 24 26. Notwithstanding the paramount focus on developing and confirming a chapter 11 25 Plan by the end of May, SK also was tasked with various other related issues, although minimal 26 time was billed to these categories except as otherwise required by the LLC Committee or 27 requested by the Debtors and/or the other Committees. Specifically, less than 5 hours of time was

1 Financing/Cash Collections; and (iv) Tax Issues. In order to avoid duplication of work, the 2 Debtors took the primary lead on issues in these categories, and only consulted with SK on as as-3 needed basis on key issues that the Debtors sought input from the LLC Committee, thus keeping 4 SK’s time billed to these categories to a minimum. 5 27. The following is a detailed description of each of the billing project categories to 6 which SK attorneys billed time organized in chronological order by billing category number.4 7 B130: Asset Disposition 8 (Total Hours: 3.7 / Total Fees: $2,992.00) 9 28. Time billed to this category relates to efforts by SK to assist the Debtors in 10 addressing the disposition of certain raw land assets related to Professional Investors 32, LLC, as 11 well as the sale of certain properties owned by Lewis Wallach, one of the perpetrators of the Ponz12 scheme, including the marketing and sale of properties located in Encino and Malibu. SK also 13 participated in strategy meetings with the Debtors to keep apprised of alternatives being analyzed 14 to maximize the value of the Debtors’ real estate portfolio, including the development of a data 15 room and the consideration of an auction process for the sale of all or a portion of the PFI real 16 estate portfolio. 17 B150: Meetings of and Communications with Creditors 18 (Total Hours: 92.8 / Total Fees: $68,875.00) 19 29. During the Fee Period, SK attorneys spent a substantial amount of time devoted to 20 advising and meeting with both the LLC Committee, as well as preparing for and attending 21 meetings with the professionals of the other Committees and the Debtors and the larger all-22 investor body group. These open communications were a key component to the success of 23 negotiating, preparing and confirming the Plan within the nine (9) month goal set by the major 24 constituents, whereby saving the estates hundreds of thousands, if not millions, in administrative 25 costs and providing the necessary open communications and transparency needed to accomplish 26 such goal. 27 4 The “Total Hours” and “Total Fees” noted below are calculated after taking into account all tim

1 30. Participation in these various meetings included coordinating, preparing and/or 2 reviewing materials (including meeting agendas, factual and legal memoranda, summaries, and 3 presentations) for LLC Committee meetings, meetings held with the larger investment 4 communities, and meetings with advisors to the Debtors and other Committees. In advance of 5 such meetings, SK attorneys drafted memoranda for the LLC Committee summarizing and 6 providing analyses and recommendations with respect to each substantive matter that was 7 scheduled for an upcoming hearing or was otherwise active. SK attorneys also drafted substantiv8 memoranda on a number of various case topics, including, without limitation, analysis of Plan 9 issues relating to the LLC Members’ claims and treatment of such claims in Ponzi schemes, as 10 well as an analysis of issues relating to putting the LLC Debtors into bankruptcy prior to 11 confirmation of the Plan. 12 31. SK attorneys also prepared for and participated in numerous calls and other 13 communications, including via email, with individual LLC Committee members, as well as the 14 subcommittees established by the Committees, which include the liaison subcommittee formed 15 and tasked with meeting with the Debtors’ chief restructuring officer to get updates on business 16 operations. SK attorneys also responded electronically and telephonically to various inquiries 17 received from individual LLC Members regarding these cases, often wanting to stay anonymous. 18 32. SK attorneys also have maintained frequent contact with advisors to the major 19 constituencies in these cases, including the Debtors and the other Committees, to discuss open 20 issues and upcoming matters important to the LLC Committee, communicate the LLC 21 Committee’s positions and seek mutually acceptable courses of action. SK attorneys also 22 prepared for and participated in numerous telephonic meetings with the OCUC and the other Ad 23 Hoc Committee to, among other things, discuss the ongoing administration and potential 24 resolution of these cases, including the negotiation over the Plan terms. 25 33. Given the significant size of the Debtors’ cases and the sheer amount of materials 26 that the LLC Committee’s advisors were tasked with handling, each week (and sometimes, on 27 additional occasions) SK conducted a telephonic video meeting with the LLC Committee, and

1 telephonic video meetings to participate in updates regarding the cases. During these meetings, 2 SK attorneys discussed key issues with the LLC Committee, including the negotiations over the 3 Plan terms, upcoming matters scheduled for hearing by the Court and the status of the asset 4 disposition efforts. Prior to such meetings, SK attorneys reviewed pending matters requiring the 5 LLC Committee’s attention and the underlying documentation. SK attorneys also drafted and 6 distributed pertinent information in advance to the LLC Committee. Thereafter, SK discussed eac7 of these matters with the LLC Committee, as well as individual LLC Committee members on 8 separate occasions, and assisted the LLC Committee in formulating a position with respect to eac9 matter. 10 B160:Fee/Employment Applications 11 (Total Hours: 69.9 / Total Fees: $27,948.50) 12 34. Time billed to this category primarily relates to the preparation of, review of and 13 coordination with the Debtors and other Committees regarding the preparation and filing of the 14 first interim fee applications submitted in these cases. The preparation and filing of the fee 15 applications included not only SK’s first interim fee application, but also conferring and 16 coordinating with the other professionals to formulate a process and share information to ensure a17 consistent and efficient process. Although this category includes SK’s time for preparing and 18 obtaining Court approval of its first interim fee application, SK did voluntarily reduce the amount 19 billed in this category by approximately $20,400 on account of time spent preparing the fee 20 application, analyzing and responding to the United States Trustee’s inquiries requesting further 21 information with respect to specific time entries, and preparing and filing an amendment to the 22 first interim fee application. 23 35. In addition to the preparation of the first interim fee application, this category 24 included time spent on certain key employment issues on which the Debtors consulted, and sough25 input and support from, the LLC Committee, including the potential retention of tax advisors to 26 assist with important tax consequences related to the Plan, issues raised by secured lenders’ 27 counsel regarding accrued fees, and issues relating to fees charged by the Debtors’ prior forensic

1 36. This category does not include any time billed in preparing this Application. SK 2 estimates that the fees incurred in preparing this Application will not exceed $15,000 in the 3 aggregate, and such fees will be included in the third interim or final application, as applicable, 4 that SK files in these bankruptcy cases. 5 B190: Litigation: Contested Matters and Adversary Proceedings 6 (Total Hours: 16.3 / Total Fees: $11,604.00) 7 37. Time billed in this category includes all time spent negotiating, reviewing, 8 analyzing and/or preparing pleadings or other materials related to matters presented to the Court, 9 and preparing or attending hearings before this Court on the same. During the Fee Period, there 10 were numerous Court hearings and other meetings with significant impact on the outcome of thes11 bankruptcy cases, including: (i) the December 23, 2020, February 3, 2021 and February 26, 2021 12 Court hearings, as well as the February 24, 2021 341 meeting, involving the Debtors’ continuing 13 efforts to place certain of its affiliates, including all but two of the LLC entities, into bankruptcy; 14 (ii) the February 11, 2021 hearing on the Debtors’ partial restitution agreement with Lewis 15 Wallach, which was approved by the Court [Dkt. No. 402]; and (iii) the April 15, 2021 hearing on16 conditional approval of the disclosure statement and approval of the procedures for soliciting vote17 on the Plan, which relief was approved by the Court on April 19, 2021 [Dkt. No. 575]. 18 38. The Debtors and the OCUC sought the LLC Committee’s cooperation to file the 19 LLC Debtors for bankruptcy protection prior to confirmation of the Plan. SK billed time in this 20 category further assisting with these continuing efforts, which took several months. Leading up t21 the December and February hearings relating to the bankruptcy filings of the affiliated LP and 22 LLC entities, SK consulted with the Debtors regarding the status and procedures for filing the 23 LLC related entities. SK also reviewed and commented on drafts of the various first day motions 24 filed by the Debtors in connection with such filings, and attended the hearings and other 25 proceedings related to those filings. 26 39. SK also consulted with the Debtors and reviewed pleadings relating to other 27 litigation matters that significantly impacted the Plan negotiations, including the status and

1 B210: Business Operations 2 (Total Hours: 2.6 / Total Fees: $2,184.00) 3 40. Time was spent in this category receiving and responding to updates and other 4 communications from the Debtors relating to governance, insurance and other operational issues 5 on which the Debtors sought the LLC Committee’s involvement that needed immediate attention. 6 B230: Financing/Cash Collections 7 (Total Hours: 4.2 / Total Fees: $3,238.00) 8 41. During the Fee Period, SK analyzed and reviewed cash collateral and cash 9 management issues related to the filings of the affiliated LLC entities. SK also participated in 10 communications with lenders on the LLC properties relating to the reasonableness of fees being 11 charged, which are payable in connection with the cash collateral order of the Court. 12 B240: Tax Issues 13 (Total Hours: 1.7 / Total Fees: $1,341.00) 14 42. During the Fee Period, SK consulted with the Debtors and the other Committees 15 regarding the complex tax issues facing certain constituencies as part of the Ponzi scheme, and th16 impact and treatment of such tax issues on the Plan provisions. SK also participated in meetings 17 and communications with the larger investor group regarding these tax issues. The Debtors also 18 consulted with SK to apprise them of issues relating to the timing and status of payment of 19 property taxes on certain LLC properties. 20 B310: Claims Administration and Objections 21 (Total Hours: 12.6 / Total Fees: $8,728.00) 22 43. Time billed to this category relates to SK’s efforts and assistance in formulating a 23 strategy for addressing claims and establishing bar dates in these cases. Among other things, SK 24 consulted with the Debtors’ and the other Committees’ professionals to negotiate treatment of 25 certain classes of claims, including deed of trust holders, tenant in common interests and 26 administrative claims, as part of the Plan negotiation process. 27 44. To avoid duplication of efforts and streamline the efficiency of establishing a

1 subgroup responsible for analyzing the various claim categories and preparing pleadings and othe2 forms to establish pertinent bar dates in these cases. To that end, SK assisted in the preparation of3 the Motion for an Order (I) Approving the Plan Summary and Conditionally Approving 4 Disclosure Statement; (II) Scheduling Combined Hearing on Approval of Disclosure Statement 5 and Confirmation of Plan and Approving the Form and Manner of Service of the Combined 6 Hearing Notice; (III) Establishing Non-Investor Bar Dates for Filing Proofs of Claim; (IV) 7 Approving Form and Manner of Notice of Non-Investor Bar Dates; (V) Establishing Procedures 8 for the Solicitation and Tabulation of Votes on Plan; and (VI) Approving Related Matters (the 9 “Solicitation Procedures Motion”) [Dkt. No. 513], seeking, inter alia, approval of a bar date with 10 respect to non-Investors, and informing the Court of the intention to file a motion to set a bar date 11 and to establish specialized procedures for the filing of investor claims at a later time. Starting in 12 late April, as the Debtors’ forensic accountants were completing the investor claims netting 13 analysis, SK also participated in meetings regarding the netting analysis process and began work 14 on developing a bar date process for investors. 15 B320: Plan and Disclosure Statement (including Business Plan) 16 (Total Hours: 472.7 / Total Fees: $347,188.00) 17 45. The vast majority of SK’s time billed during the Fee Period was dedicated to 18 analyzing, negotiating, preparing and working toward the successful approval of the disclosure 19 statement and confirmation of the Plan. The Firm billed time to this category devising plan 20 strategy issues and performing plan and settlement research relating to the LLC Members’ claims. 21 This task code also encompassed significant Plan-related research and analysis concerning, amon22 other things: (i) the treatment of LLC Members’ claims under the Plan; (ii) the treatment of other 23 investor claims to be addressed in the Plan, including deed of trust liens and issues particular to 24 investor claims in Ponzi scheme cases; (iii) substantive consolidation; (iv) Plan trust terms, 25 structures and implementation; (v) issues related to filing LLC and LP entities for bankruptcy and26 timing issues related thereto; and (vi) formulation and preparation of the Solicitation Procedures 27 Motion. In addition, this task code reflects research conducted and multiple review and edits

1 straw person proposal used by the Debtors as a tool to address key settlement points to be 2 incorporated into a Plan document, the disclosure statement, the Plan and other Plan supplement 3 documents. 4 46. SK attorneys and the various Committees and their respective counsel also met 5 weekly, and sometimes more often, with the Debtors and each other to share and communicate 6 information with the goal of achieving a consensual resolution of the issues in the bankruptcy 7 cases and to ultimately negotiate the terms of the Plan and related documents. SK attorneys also 8 strategized with and advised the LLC Committee regarding the potential framework and plan 9 structures available and the development of potential plan terms. SK attorneys also met with the 10 forensic accountants regarding the status and results of their investigations into the Debtors’ fraud11 extensive commingling issues and netting analysis. These negotiations and ongoing discussions 12 resulted in the development, and ultimate confirmation, of a consensual Plan on an expedited 13 basis. 14 47. SK regularly conferred with the Debtors’ and the other Committees’ professionals 15 to develop and implement a “divide and conquer” strategy to limit costs incurred and to ensure 16 there was no unnecessary duplication of efforts or services in connection with the Plan negotiatio17 and approval process. To this end, the professionals worked together to delegate the necessary 18 responsibilities leading up to the hearings on the Solicitation Procedures Motion and confirmation19 of the Plan. 20 48. SK respectfully submits that the services that it has rendered on behalf of the LLC 21 Committee during the Fee Period were necessary and appropriate and, as demonstrated above, 22 have directly contributed to the effective administration of these cases, the successful confirmatio23 of the Plan, and a significant savings to the estates for the benefit of the Ponzi scheme victims. 24 DESCRIPTION OF REQUESTED REIMBURSEMENT OF EXPENSES 25 49. In the ordinary course of its practice, SK also maintains records of all actual and 26 necessary out-of-pocket expenses incurred in connection with the performance of professional 27 services, all of which are available for inspection. A summary of the expenses for which SK seek

1 during the Fee Period, is attached hereto as Exhibit J. 2 50. Throughout the Fee Period, SK has been keenly aware of cost considerations and 3 has tried to minimize the expenses charged to the Debtors’ estates. As such, the only expenses fo4 which SK seeks reimbursement for are all on account of either fees charged by the Court Call 5 services for the various hearings that counsel for SK attended telephonically on behalf of the LLC 6 Committee or postage paid for service of certain pleadings filed in these cases, in the aggregate 7 amount of $252.95. The disbursements have been incurred in accordance with SK’s normal 8 practice of charging clients for expenses clearly related to and required by particular matters. In 9 accordance with section 330 of the Bankruptcy Code, SK seeks reimbursement only for the actual10 cost of such expenses to SK. 11 51. Although every effort has been made to include all expenses incurred during the 12 Fee Period, some expenses incurred during the Fee Period might not be included in this 13 Application due to delays caused in connection with the accounting and processing of such 14 expenses. Accordingly, SK reserves the right to make further application to this Court for 15 allowance of any such expenses incurred during this Fee Period but not included herein. 16 I. THE FEES AND EXPENSES REQUESTED SHOULD BE AWARDED BASED 17 UPON APPLICABLE LAW 18 52. The fees and expenses requested by this Application are an appropriate award for 19 SK’s services in acting as counsel to the LLC Committee. Pursuant to Bankruptcy Code section 20 330, the Court may award to a professional person reasonable compensation for actual, necessary 21 services rendered, and reimbursement for actual, necessary expenses incurred. Pursuant to 22 Bankruptcy Code section 331, the Court may award interim compensation and reimbursement to 23 professional. As set forth above, the fees for which the Firm requests compensation and the costs 24 incurred for which the Firm requests reimbursement are for actual and necessary services rendere25 and costs incurred. 26 53. In determining the amount of allowable fees under Bankruptcy Code section 27 330(a), courts are guided by the same “general principles” that are applied in determining awards

1 bankruptcy matters.” Burgess v. Klenske (In re Manoa Finance Co., Inc.), 853 F.2d 687, 691 (9th 2 Cir. 1988). 3 54. In assessing the propriety of an award of attorneys’ fees, twelve factors relevant to 4 determining such fees were identified in Johnson v. Georgia Highway Express, Inc., 488 F.2d 7145 717-719 (5th Cir. 1974), a Title VII class action case under the Civil Rights Act of 1964, 42 6 U.S.C. § 2000 et seq.,5 and Kerr v. Screen Extras Guild, Inc., 526 F.2d 67, 70 (9th Cir. 1975), cert7 denied, 425 U.S. 951 (1976), each of which is applied to the circumstances here as follows: 8 (a) The time and labor required: The time and labor required to understand the facts and 9 circumstances involving the Ponzi scheme and develop factual and legal positions to 10 protect the interests of the LLC Committee and the LLC Members on whose behalf it 11 advocates has been substantial. 12 (b) The novelty and difficulty of the questions: Many of the legal and factual issues relate13 to these cases are novel and complex due to the length and pervasiveness of the 14 perpetrated fraud, the nature of the Debtors’ business, different investment vehicles 15 used, and the lack of easily verifiable documentation. 16 (c) The skill requisite to perform the service properly: The skill to perform the 17 representation of the LLC Committee properly is significant. There are numerous 18 complex factual and legal issues presented by these cases, and an urgency, in order to 19 preserve value for a meaningful recovery to victims, for a quick resolution and speedy20 exit from bankruptcy. 21 (d) The preclusion of other employment by the professional due to acceptance of the case22 Although full-service, SK is a boutique firm with a limited number of attorneys 23 compared to the other professionals in these cases, and as such, the significant time 24 expended has precluded other opportunities. 25 (e) The customary fee: Although SK has agreed to reduce its fees for certain of the 26 bankruptcy professionals rendering service, SK is generally charging its customary 27 5 See American Benefit Life Ins. 1 fees in this matter and has agreed not to increase such fees during 2021. 2 (f) Whether fee is fixed or contingent: The fees are hourly fees. 3 (g) Time limitations imposed by the client or the circumstances: There have been 4 constrained time limitations in this representation due to the fast pace of the cases, 5 limited information based on the condition of the Debtors’ books and records, and the6 necessity to digest significant and complex information on an expedited basis. 7 (h) The amount involved and the results obtained: The hourly rates of the SK lawyers 8 providing services to the LLC Committee are generally lower than the hourly rates of 9 the other professionals in these cases, and the LLC Committee has been instrumental 10 in furthering the goal of reaching a consensual resolution and facilitating a course of 11 action that avoids potential litigation that would reduce recoveries for the overall 12 investor body. 13 (i) The experience, reputation, and ability of the professionals: The bankruptcy 14 professionals at SK are well known for their experience and expertise in bankruptcy 15 matters, as further demonstrated in the biographies of such professionals attached 16 hereto as Exhibit L. Ms. Itkin is a fellow in the American College of Bankruptcy, and17 the team is comprised of seasoned corporate, real estate and litigation lawyers, in 18 addition to the bankruptcy lawyers. 19 (j) The undesirability of the case: These cases are not undesirable, but they are time 20 consuming and complicated. 21 (k) The nature and length of the professional relationship with the client: SK had no 22 relationship with the LLC Committee Members or any other LLC Members prior to 23 these cases. 24 (l) Awards in similar cases: SK’s fee Application is comparable to other awards in simila25 cases. 26 55. The time for which compensation is sought is detailed in the Firm’s professional 27 fee statements contained in Exhibit K annexed hereto. SK’s services and time expenditures are

1 charges for its professional services are based upon the time, nature, extent, and value of such 2 services. The compensation the Firm seeks by way of this Application is the customary 3 compensation commonly sought by the Firm and other professionals representing trustees, 4 committees, and debtors in similar circumstances, and actually less than normally charged. 5 56. Bankruptcy Code section 330(a)(3) also sets forth five (5) factors to be considered 6 by the Court. 11 U.S.C. § 330 (a)(3). Although several of these factors (such as the time 7 involved, the timeliness of SK’s performance, and the complexity of the cases) were addressed 8 above, SK believes two of the five factors should be discussed separately again here. First, 9 Bankruptcy Code section 330(a)(3)(C) requires that the professional services be necessary to the 10 administration of, or beneficial at the time at which the service was rendered toward completion 11 of, the case. SK believes the facts of these cases make it evident that SK’s services were both 12 necessary and beneficial to the estates. Here, the formation of the LLC Committee, in conjunctio13 with the other Committees, provides the Debtors with a cost-effective opportunity to engage in 14 meaningful and productive negotiations with much more manageably sized groups that advocate 15 for the differing constituents that comprise nearly the whole 1000+ investor group. The ultimate 16 success of these bankruptcy cases for the benefit of these victims hinges on this continued 17 cooperation, coordination and transparency, all in hopes of avoiding unnecessary and wasteful 18 litigation. 19 57. Second, Bankruptcy Code section 330(a)(3)(E) requires the compensation to be 20 reasonable based on customary compensation charged by comparably skilled practitioners in case21 other than cases under the Bankruptcy Code. SK believes its attorneys are skilled and have 22 performed well in these cases, and that the fees charged by SK are commensurate with, and 23 actually lower than, the fees charged by SK’s counterparts engaged in non-bankruptcy specialties 24 of the law. 25 STATEMENT PURSUANT TO APPENDIX B OF THE UST GUIDELINES 26 The following statement is provided pursuant to ¶ C.5 of the UST Guidelines. 27 a.
