JERNIGAN, UNITED STATES BANKRUPTCY JUDGE: COMES NOW Origin Bank (“Origin”), a creditor and party in interest in the above-referenced case, and hereby files this Motion Pursuant to Bankruptcy Rule 4001(d) for Order Granting Origin Bank Relief from the Automatic Stay (the “Motion”). In support of the Motion, Origin would respectfully show the Court as follows:

I. STATEMENT PURSUANT TO BANKRUPTCY RULE 4001(D)(1)(B) 1. By this Motion, Origin seeks entry of the Agreed Order attached hereto as Exhibit A (the “Agreed Order”), which has been agreed to by the Chapter 7 Trustee. The proposed Agreed Order grants Origin relief from the automatic stay provided for in section 362(a) of the Bankruptcy Code to permit Origin to exercise any and all rights it may have with respect to the Collateral, including with respect to the TLG Interest (as such terms are hereinafter defined). 2. Specifically, the Agreed Order provides that the automatic stay provisions of section 362(a) of the Bankruptcy Code are terminated to the full extent possible pursuant to sections 362(d)(1) and (2) to permit Origin to pursue any and all available rights and remedies it may have under its loan documents and applicable law by judicial or non-judicial means with respect to the Collateral (including the TLG Interest), which rights and remedies include, but are not limited to, (a) the right to sell or dispose of the Collateral as provided in the loan documents, (b) the right to seek appropriate judicial remedies in order to effectuate Origin’s rights in the Collateral, and (c) the right to seek to avoid and recover the TLG Interest under applicable law as a creditor of the Debtor, and to subsequently seek to enforce its security interest in the recovered TLG Interest. 3. The Agreed Order further provides that the stay pursuant to Bankruptcy Rule 4001(a)(3) is waived so that the terms of the Agreed Order may be immediately enforced and implemented. II. JURISDICTION 4. The Court has jurisdiction pursuant to 28 U.S.C. § 1334. This bankruptcy case and all related proceedings have been referred to this Court pursuant to 28 U.S.C. § 157. This matter constitutes a “core” proceeding pursuant to 28 U.S.C. § 157(b)(2). This Court has full constitutional jurisdiction to enter a final order on this Motion.

III. BACKGROUND 5. On May 2, 2019 (the “Petition Date”), The LaSalle Group, Inc., a Texas corporation (the “Debtor”), filed a voluntary petition commencing a bankruptcy case under chapter 11 of the Bankruptcy Code. The Debtor is a holding company which owns interests in various limited liability companies and limited partnerships which own operating facilities. 6. On September 16, 2020, the Debtor’s case was converted to Chapter 7. 7. Diane G. Reed (the “Trustee”) is the duly appointed Chapter 7 Trustee herein. 8. Prior to the Petition Date, on June 20, 2014, the Debtor, as borrower, executed a Promissory Note (the “Promissory Note”) in the original principal amount of $4.0 million payable to Community Trust Bank, now known as Origin Bank. A copy of the Note is attached hereto as Exhibit B. 9. The Debtor and Origin entered into a Modification and Extension of Promissory Note (the “Extension Agreement”) effective as of March 31, 2018, renewing and extending the Promissory Note. A copy of the Extension Agreement is attached hereto as Exhibit C. The Debtor is in default in the payment of the Promissory Note as extended pursuant to the Extension Agreement (the “Note”). 10. The Debtor is additionally obligated pursuant to a Commercial Guaranty, whereby the Debtor guaranteed the obligations of Lake Superior Contracting, L.P. to Origin (the “Guaranty Agreement”). A copy of the Guaranty Agreement is attached hereto as Exhibit D. 11. As of the date hereof, the Debtor is obligated to Origin pursuant to the Note and Guaranty Agreement in the approximate amount of $7,835,467.47. 12. The Debtor’s obligations under the Note and Guaranty Agreement are secured by first lien interests in collateral as more particular described in that certain Commercial Security Agreement (the “Security Agreement”) dated June 30, 2015, between the Debtor and Origin as secured party (the “Prepetition Collateral”). A copy of the Security Agreement is attached hereto as Exhibit E. The Prepetition Collateral includes the following property:

All chattel paper, accounts, notes receivable, interest receivable, contract rights, licenses, and general intangibles, including, but not limited to, distributions from any and all partnership interests and/or limited liability company interests, whether any of the foregoing is owned now or acquired later, all accessions, additions, replacements, and substitutions relating to any of the foregoing, all proceeds relating to any of the foregoing, including insurance, general intangibles, and other account proceeds. 13. The Prepetition Collateral includes the Debtor’s ownership interests in limited partnerships and limited liability companies (collectively, the “Equity Interests”), including those interests reflected in item 15 of Part 4 of Debtor’s Schedule B, a copy of which is attached as Exhibit F, and in debts owed to the Debtor by various entities (the “Obligations”), including certain of the Debtor’s subsidiaries, as reflected in item 77 of part 11 of the Debtor’s Schedule B, a copy of which is attached as Exhibit G. As explained below, the Equity Interests and Obligations are “general intangibles” as defined in Section 9.102(a)(42) of the Tex. Bus. & Com. Code. 14. Origin has perfected its security interest in the Prepetition Collateral by filing a UCC-1 financing statement with the Secretary of State for Texas on January 19, 2018 as filing number 18-0002271728. A copy of this financing statement is attached as Exhibit H. 15. Based on the loan documents, Origin has a first, perfected security interest in the Prepetition Collateral, including the Equity Interests. These Equity Interests are “general intangibles” as defined in Section 9.102(a)(42) of the Tex. Bus. & Com. Code.1 This includes, but is not limited to, all distributions and all proceeds arising from the sale of, or distributions on account of, the Equity Interests. Such proceeds constitute Origin’s cash collateral. 16. Similarly, based on the loan documents, Origin has a first, perfected security interest in the Obligations. Debtor’s rights to payment in relation to the Obligations constitute “payment intangibles” as defined in Section 9.102(a)(62) of the Tex. Bus. & Com. Code. payment intangible is a sub-class of the broader category of general intangibles. Proceeds from the collection of the Obligations also constitute Origin’s cash collateral. 17. Origin’s security interest in general intangibles includes the 5% membership interest in TLG Family Management LLC (n/k/a J&M Family Management, LLC) (the “TLG Interest”), which was transferred subject to Origin’s lien by the Debtor on the eve of the Petition Date to insider Mitchell W. Warren, as described in the Debtor’s Statement of Financial Affairs at No. 4.1081 (the “TLG Transfer”). The Trustee holds a cause of action for the avoidance and recovery of the TLG Interest, although even if recovered by the estate, such interest would continue to be subject to Origin’s first-priority lien. 18. Pursuant to the Court’s Final Order Authorizing Debtors’ Use of Cash Collateral and Providing Partial Adequate Protection [Docket No. 390] (the “Cash Collateral Order”), Origin additionally holds a Replacement Lien, as defined therein, in all assets of the Debtor (other than Chapter 5 causes of action) (the “Replacement Lien Collateral”, and together with the Prepetition Collateral and the TLG Interest, the “Collateral”). 19. The Trustee has determined that there is no equity in the Collateral and that the Collateral is burdensome to the estate. In lieu of abandonment of the Collateral, the Trustee has agreed to relief from the automatic stay so that Origin may exercise any and all rights with respect to the Collateral. IV. RELIEF REQUESTED 20. By this Motion, Origin requests entry of the Agreed Order lifting the automatic stay provisions of section 362(a) pursuant to sections 362(d)(1) and 362(d)(2) to permit Origin to take any and all actions to enforce its interest in the Collateral, including without limitation, to seek to avoid and recover the TLG Interest under applicable law as a creditor of the Debtor. Alternatively, Origin requests adequate protection of its interests in the Collateral pursuant to sections 361 and 363(e). 21. Origin is entitled to relief from the automatic stay under sections 362(d)(1) and

362(d)(2). Cause exists to lift the stay with respect to the Collateral under section 362(d)(1) because of a lack of adequate protection in the Collateral and because the Trustee has no ability to liquidate the Collateral for the benefit of the Debtor’s estate. The Trustee has already determined that the Collateral is of inconsequential value and is burdensome to the estate, and has agreed to relief from the automatic stay in lieu of abandonment of the Collateral. 22. For the same reasons, cause exists under section 362(d)(2) of the Bankruptcy Code for relief from the stay. The Trustee has determined that there is no equity in the Collateral, and because the case has been converted to Chapter 7, there is no prospect for reorganization. Accordingly, Origin is entitled to relief from the automatic stay under section 362(d)(2). 23. By reason of the foregoing, good cause exists for terminating the automatic stay pursuant to sections 362(d)(1) and 362(d)(2), thereby permitting Origin to exercise all of its state law remedies with respect to the Collateral, including, without limitation, seeking to foreclose its security interests in the Collateral by judicial or non-judicial means, and to avoid the TLG Transfer and recover the TLG Interest (subject to Origin’s lien) as a creditor of the Debtor. 24. The Trustee has consented to the relief requested herein. Good cause therefore exists to waive the fourteen-day stay provided by Rule 4001(a)(3) to permit Origin to immediately enforce and implement the Agreed Order. PRAYER FOR RELIEF WHEREFORE, PREMISES CONSIDERED, Origin Bank respectfully requests that the Court enter the Agreed Order attached hereto as Exhibit A and grant Origin such other and further relief as the Court may deem just and proper.
