this Court having found and determined that the relief sought in the Motion is in the best interests of the Debtor’s estate, its creditors, and other parties in interest and that the legal and factual bases set forth in the Motion establish just cause for the relief granted herein; and any objections to the requested relief having been withdrawn or overruled on the merits; and after due deliberation and sufficient cause appearing therefor, IT IS HEREBY ORDERED: 1. The Motion is GRANTED. 2. The Settlement Agreement, attached hereto as Exhibit 1 is APPROVED. 3. The KL2 Claim (Claim No. 103) shall be reduced and allowed as a general unsecured claim in the amount of $250,000. Deloitte’s other filed claims (Claim Nos. 2 and 25) shall be disallowed in their entirety and expunged from the Debtor’s claims register. 4. Donlin, Recano & Company, Inc., the Debtor’s noticing and claims agent, is authorized to update the Debtor’s claim register to reflect the relief granted in this Order. 5. The Debtor is authorized to take any and all actions as may be necessary to complete, effectuate and implement the terms and provisions of the Settlement Agreement. 6. The Debtor is authorized to take all actions necessary to effectuate the relief granted pursuant to this Order in accordance with the Motion. 7. This Order shall take effect immediately upon entry and shall not be stayed pursuant to Bankruptcy Rules 6004(h), 7062 or otherwise. 8. Notice of the Motion as provided therein shall be deemed good and sufficient notice of such Motion and the requirements of Bankruptcy Rule 6004(a) and the Local Rules are satisfied by such notice. 2
