The Motion is summarized as follows: 26 1. For over 20 years, the Debtor operated out of two buildings located in Los Angeles, California. One building is located at 1122 Wilshire Boulevard, Los Angeles, 27 California ("Building 1"), and the other is located at 1126 Wilshire Boulevard, Los Angeles, California ("Building 2"). The Estate has continued to occupy both buildings 28 post-bankruptcy. The Debtor is not on record title on either building.

1 2. Building 1 is currently in escrow to be sold to Dordick Law Corporation (the "Buyer"). The Buyer is interested in purchasing much of the personal property located in 2 Building 1 for $50,000.00. The property includes, but is not limited to, furniture, shelving, partitions, one Blind Justice Bronze statue, and other miscellaneous personal property 3 (the "Assets"). Specifically excluded from the proposed sale are the Debtor's phone system and phones. The Assets are more particularly described in an Asset Purchase 4 Agreement executed by the Trustee and the Buyer and attached to the Motion as Exhibit "1" (the "Agreement") and accompanying Schedule 2.1. 5 3. The Trustee has received multiple proposals from auctioneers which 6 estimate the combined gross auction sale proceeds of the personal property located in both Building 1 and Building 2. One of the proposals specifically values the gross auction 7 sale proceeds for the Assets at $55,000.00, which would be further reduced by auction costs. The sale of Assets as proposed in the Agreement avoids the Trustee having to 8 incur auction costs and other costs moving the Assets from Building 1 to Building 2. The Trustee believes that the $50,000.00 proposed sale price is fair, reasonable and in line 9 with the auctioneers' estimates. 10 4. The Agreement describes the terms of the proposed sale. Any liens, claims, encumbrances, 20 or other interests of the Debtor's creditors shall attach only to the proceeds of the sale to the same scope, extent, priority, and validity (if any) that such liens, claims, 21 encumbrances, or other interests had prior to the consummation of the Agreement, and subject to any claims or defenses the Trustee or the Estate may 22 have. 23 5. The proposed sale is in the best interests of the Estate and has been proposed in good faith. The purchase price is a fair value for the Assets based on the 24 estimates received by the Trustee. The sale to the Buyer eliminates the costs of sale and moving costs were the Assets to be sold at auction thereby maximizing the Estate's 25 recovery on the Assets. Finally, the Agreement is the result of arms-length negotiations and likely represents the best outcome for the Estate. In short, there is a valid business 26 justification for the Agreement. 27 DEADLINE FOR FILING AND SERVING OPPOSITION PAPERS AND REQUEST FOR A HEARING: Pursuant to LBR 9013-1(o), any party who opposes the 28 Motion may request a hearing on the Motion. The deadline to file and serve a written

INTRODUCTION 2 This Motion requests an order authorizing the sale of certain items of personal 3 property located in 1122 Wilshire Boulevard - one of the buildings previously occupied by 4 Girardi Keese (the "Debtor"). The building is currently in escrow to be sold, and the 5 buyer is interested in purchasing the furniture and certain other items of personal 6 property located in the building for $50,000.00. Based on proposals received from 7 multiple auctioneers, the Trustee believes the proposed sale price is fair and reasonable. 8 Accordingly, the Trustee and the buyer have entered into an agreement which details the 9 terms of the proposed sale. On 3 January 13, 2021, the Clerk of Court entered an order for relief against the Debtor 4 [Docket No. 69], and the Trustee was appointed and accepted her appointment in the 5 Debtor's case [Docket No. 71]. 6 For over 20 years, the Debtor operated out of two buildings located in Los 7 Angeles, California. One of the proposals specifically values the gross auction sale proceeds 24 for the Assets at $55,000.00, which would be further reduced by auction costs. The sale 25 of Assets as proposed in the Agreement avoids the Trustee having to incur auction costs 26 and other costs moving the Assets from Building 1 to Building 2. The Trustee believes 27 that the $50,000.00 proposed sale price is fair, reasonable and in line with the 28 auctioneers’ estimates.

MEMORANDUM OF POINTS AND AUTHORITIES 23 A. The Court Can Authorize the Sale Under 11 U.S.C. § 363(b) 24 Section 363(b) of the Bankruptcy Code empowers a trustee to "use, sell or 25 lease…other than in the ordinary course of business, property of the estate…" A 26 transaction outside the ordinary course of business is appropriate when proposed in good 27 faith and supported by a sound or valid business justification. In consideration of a 28 proposed transaction to use or sell property of the estate, courts look at whether the

1 transaction is in the best interests of the estate based on the facts and history of the 2 case. In re America West Airlines, 166 B.R. 908, 912 (Bankr. D. Ariz.1994) (citing In re 3 Lionel Corp., 722 F.2d 1063, 1071 (2d Cir. 1983)). This requires examination of the 4 "business justification" for the proposed transaction. In re 240 North Brand Partners, 5 Ltd., 200 B.R. 653, 659 (B.A.P. 9th Cir. 1996); In re Ernst Home Center, Inc., 209 B.R. 6 974 (Bankr. W.D. Wash. 1997). A trustee's business judgment is subject to great judicial 7 deference. See In re Lahijiani, 325 B.R. 282, 289 (B.A.P. 9th Cir. 2005); see also In re 8 MF Global, Inc., 535 B.R. 596, 605 (Bankr. S.D.N.Y. 2015); GBL Holding Co., Inc. v. 9 Blackburn/Travis/Cole, Ltd., 331 B.R. 251, 255 (N.D. Tex. 2005); In re Psychrometric 10 Systems, Inc., 367 B.R. 670, 674 (Bankr. D. Colo. 2007). Miller. For these reasons, the Court should authorize the sale under the Agreement 19 under 11 U.S.C. § 363(b). 20 B. The Court May Authorize the Sale of the Assets Free and Clear of Any 21 Liens and Interests Under 11 U.S.C. § 363(f) 22 The Agreement provides that any creditors of the Debtor that may hold an interest 23 in the Debtor's assets may only assert such interests against the Debtor, not against the 24 Buyer. To make clear that these creditors' potential interests are only against the Estate, 25 the Trustee seeks Court approval to authorize the sale contemplated in the Agreement to 26 be free and clear of any liens, claims and interests under 11 U.S.C. § 363(f). 27 The Court may authorize the sale of the Assets free and clear of any liens, claims 28 and interests under 11 U.S.C. § 363(f). Section 363(f) provides the following:

Under California Commercial Code 19 § 9610(a), "[a]fter default, a secured party may sell…or otherwise dispose of any or all 20 the collateral in its present condition or following any commercially reasonable 21 preparation or processing." See California Commercial Code § 9610(a). Further, "[a] 22 secured party shall apply…the cash proceeds of disposition under Section 9610... [to] the 23 satisfaction of obligations secured by the security interest…[and] the satisfaction of 24 obligations secured by any subordinate security interest…" See California Commercial 25 Code § 9615(a). Here, because any party that potentially holds a security interest in the 26 Estate's assets can be compelled to accept a money satisfaction under California 27 Commercial Code §§ 9610(a) and 9615(a), 11 U.S.C. § 363(f)(5) applies. Thus, the 28

1 Court may authorize the sale contemplated in the Agreement free and clear of any liens, 2 claims and interests under 11 U.S.C. § 363(f)(5). 3 The sale of the Assets as proposed is in the best interest of the Estate. The price 4 is fair based on the estimates received from auctioneers and avoids the additional costs 5 associated with brokering a sale through a third party and moving the Assets from 6 Building 1 to Building 2. 7 8 IV.
