[No Hearing Required Pursuant to 19 Local Bankruptcy Rule 9013-1(o)] 20 21 TO ALL INTERESTED PARTIES: 22 PLEASE TAKE NOTICE that Elissa D. Miller, the chapter 7 trustee for the bankruptcy estate of Girardi Keese (the "Trustee"), has filed a Motion for Order 23 Authorizing the Transition and Assignment of the Estate's Interests in the NFL Concussion Litigation to Goldberg Persky White P.C. Free and Clear of Liens, Claims 24 and Interests Pursuant to 11 U.S.C. § 363 (the "Motion"). The Trustee is requesting that the Motion be granted without a hearing as provided in Local Bankruptcy Rule 9013-1(o)25 unless a party in interest timely files and serves a written opposition to the Motion and requests a hearing. The Motion is summarized as follows: 26 1. Prior to the involuntary petition, Girardi Keese (the "Debtor") was a27 prominent plaintiff's law firm representing clients in the areas of personal injury, defectiveproducts, sexual abuse, toxic torts, business law, employment law, and aviation law.
11 the Debtor's pending cases. To protect the Debtor's clients, the Trustee and her counselhave engaged in discussions with reputable law firms to discuss the possibility of 2 transferring some or all of the Debtor's pending cases to qualified and experienced counsel. 3 2. Pre-petition, the Debtor and Goldberg Persky White P.C. ("GPW")4 represented approximately 100 former NFL players ("Joint Clients") claiming to have suffered concussion injuries from repeated blows to the head ("NFL Concussion 5 Litigation"). The Debtor is not able to continue to perform as counsel for the clients and GPW wishes to continue as counsel for some the Joint Clients. The Debtor's claim to 6 fees and costs in the NFL Concussion Litigation is an asset of value. Accordingly, the Trustee and GPW entered into a transition agreement, whereby the Trustee agreed to 7 transfer the Estate's interest in NFL Concussion Litigation to GPW (the "Agreement"). The salient terms of the Agreement are as follows: 8 (a) All fees that may be received by GPW or the Debtor on account of9 the representation of the Joint Clients in the NFL Concussion Litigation, net of anycommon benefit assessments ("Fees"), shall be allocated as follows: 10 (i) To the Trustee for the benefit of the Estate, 25% of the Fees11 (the “Estate Allocation”); 2 0 0 92626 4 445-1 1123 Rtraenfesrfrea(rlir ie)Fde etos T GdouP eGW Po nWp uc,r as7su5ea%sn two tfho ti chthhei shF aAevegesr e b(etehmeeen "n Grte PsfehWrar elAl dbl leoto cd atehtideou nDc"et)e.b d tAo fnrr oyamnd t haer ornia ax 71 GPW Allocation, which GPW shall be authorized to negotiate. a, Calif00 • F 14 (b) All Fees shall be initially payable to a trust fund administered bys0 15 GPW. Within 30 days of receipt, GPW shall calculate the GPW Allocation and the1 M5- Estate Allocation and notify the Trustee of the proposed allocation. If the Trustee a 4 ost4 4 16 does not object to the proposed allocation within 14 days after such notice, GPW C71 shall distribute the Fees in accordance with the proposed allocation. If the Trusteel 17 does object, GPW shall reserve such amount as would be necessary to satisfy thT Trustee’s objection, if sustained, and may distribute the remainder. The Trustee 18 and GPW agree to attempt to resolve any dispute promptly, which resolution shallbe subject to approval under Bankruptcy Rule 9019. If the parties cannot resolve 19 their dispute within 30 days, the matter will be submitted to the Bankruptcy Court. 20 (c) The assignment to GPW, including without limitation the GPWAllocation, shall be free and clear of all liens, claims, encumbrances, and other 21 interests pursuant to Bankruptcy Code section 363(f), including but not limited to (i) any purported liens, assignments, encumbrances, or other purported transfers22 to litigation funders or other creditors of the Debtor, and (ii) any purportedassignments or transfers (or agreements to a substitution of counsel or notice of23 association or appearance) by the Debtor. 24 (d) Any liens, claims, encumbrances, or other interests of the Debtor’screditors or other entities that may assert an interest in the Debtor’s right to 25 attorneys’ fees or other compensation relating to the Joint Clients shall attach onlyto the Estate Allocation, to the same extent, priority, and validity (if any) that such 26 liens, claims, encumbrances, or other interests had prior to consummation of the Agreement, and subject to any claims or defenses the Trustee or the Estate may 27 have. The GPW Allocation shall be free and clear of such liens, claims, encumbrances, or other interests. For the avoidance of doubt, GPW is assuming
21 attorneys, insiders, affiliates, or employees thereof, whether under contract, tort, ootherwise. 2 (e) The terms of the Agreement, and the effectiveness thereof, are3 subject to Court approval. A copy of the Agreement is attached to the Motion as Exhibit "1." 4 3. The proposed assignment is reasonable, is in the best interests of the 5 Estate and has been proposed in good faith. There is valid business justification for the Agreement. Under the Agreement, the Estate will realize 25% of any contingency fees 6 earned plus costs on terms that are fair to the Estate. This result greatly benefits the Estate and will likely yield a recovery for the Estate that is greater than what the Estate 7 would recover litigating a quantum meruit claim. 8 4. Finally, the Agreement is the product of the Trustee's arms-lengthnegotiations with GPW. GPW was willing to continue the prosecution of the NFL 9 Concussion Litigation for the Joint Clients on terms that were satisfactory to the Trustee. While the decision to choose and retain counsel rests with the Joint Clients, the 10 Agreement will provide the Joint Clients with the opportunity to continue with reputable and experienced counsel through the proposed representation. Moreover, the Joint 11 Clients will be represented by counsel who is already familiar with their NFL Concussion 2 Litigation. 0 0 92626 4 445-1 1123 REQUEDSETA DFOLIRN EA FHOERA RFIINLIGN:G P AuNrsDu aSnEt RtoV LINBGR O90P1P3O-1S(oIT),I OaNny P pAaPrtEy RwSh oA oNpDp oses the ornia ax 71 Motion may request a hearing on the Motion.
