WHEREAS, on April 18, 2018, the Claimant filed a Proof of Claim No. 170-1 asserting a secured claim against the Debtor in the amount of $295,898.74 (the "Claim"). WHEREAS, on July 14, 2021, the Debtor filed its Third Amended Chapter 11 Plan of Liquidation. [Docket No. 1026] (the "Plan"). Except for the Allowed Claim, all other claims that the Claimant had, has, or may have against the Debtor are disallowed with prejudice. 3. This Stipulation shall be binding upon the Parties' successors, agents, assigns including bankruptcy trustees and estate representatives, and any parent, subsidiary, or affiliated entity of the Parties. 4. Notwithstanding any other provision of this Stipulation to the contrary, this Stipulation shall not under any circumstances waive, release, modify, reduce, or otherwise impair any claim, right, lien, demand, action, or cause of action that the Claimant may have, if any, against any party other than the Debtor. 5. The undersigned represent that they are authorized to execute this Stipulation on behalf of the representative party for whom they have signed. 6. The Court retains jurisdiction with respect to all matters arising from or relating to the implementation of this Stipulation, and the Parities hereby consent to such jurisdiction to resolve any disputes or controversies arising from or related to this Stipulation.
