1 DECLARATION OF BRAD SMITH 2 I, Brad Smith, declare as follows: 3 1. I am Senior Managing Director of GlassRatner Advisory Capital Group, LLC, whic4 is the financial advisor of the Debtors. I have served as the Debtors’ Chief Restructuring Office5 (“CRO”) as of April 1, 2016 [docket 261 & 618]. I have personal knowledge of the facts set fort6 herein, except as to those stated on information and belief and, as to those, I am informed and believ7 them to be true. If called as a witness, I could and would competently testify to the matters state8 herein. 9 2. I make this declaration in support of Plan Proponents' Brief in Support 10 Confirmation of the Second Amended Joint Chapter 11 Plan or Liquidation Proposed by Debtor11 and Official Committee of Unsecured Creditors, as Modified (“Confirmation Brief”). A12 capitalized terms not otherwise defined herein shall have the meaning set forth in the Secon13 Amended Joint Chapter 11 Plan of Liquidation Proposed by Debtors and Official Committee 14 Unsecured Creditors, as Modified [docket 1760] (“Plan”) and the Second Amended Disclosur15 Statement for Second Amended Joint Chapter 11 Plan of Liquidation Proposed by Debtors an16 Official Committee of Unsecured Creditors, as Modified[docket 1758] (“Disclosure Statement”). 17 3. I have read the Plan, Disclosure Statement, and the Confirmation Brief and to th18 best of my knowledge, all of the information contained therein is true and correct. 19 4. The means for implementing the Plan are detailed in Article Vof the Plan. The Pla20 provides for the distribution of the remaining assets of the Estates, consisting primarily of net cas21 proceeds from certain litigation settlements and prosecution of Retained Rights of Action, includin22 but not limited to the Debtors’ entitlement to the Refund Claim from the CDTFA.123 5. As detailed in Paragraph 5.5 of Article V of the Plan, the Plan provides for th24 appointment of a Plan Administrator on the Effective Date. The Plan Administrator shall begi25 acting forthe Liquidating Debtors in the same fiduciary capacity as applicable to a board of director26 of a Delaware corporation implementing such liquidation and wind-down as contemplated unde27 1Formerly the California Board of Equalization.

1 the Plan. The Plan Administrator shall serve in such capacity throughthe earlier of (1) the date th2 all of the Debtors are dissolved in accordance with the Plan and (2) the date such Plan Administrato3 resigns, is terminated or otherwise unable to serve (provided that any successor Plan Administrato4 appointed pursuant to the Plan shall serve in such capacity after the effective date of such person’5 appointment as Plan Administrator). As provided in the Plan, I will be theinitial Plan Administrato 6 Iwill be compensated in the same manner Iwas being compensated as the CRO. 7 6. Paragraph 6.1 of Section VI of the Plan provides in detail for the rejection 8 executory contracts and unexpired leases. 9 7. The Debtors and their counsel, myself included, did not solicit the votes of an10 creditor until after the Disclosure Statement and Plan were mailed to creditors. 11 8. The Debtors have acted diligently throughout the course of these Chapter 11 case12 to comply with all provisions of Chapter 11 and applicable law. Furthermore, as set forth in th13 liquidation analysis provided for in Section VIII.C. of the Disclosure Statement and as discusse14 therein and in the Confirmation Brief, all creditors and interest holders will receive at least as muc15 under the Plan as such creditors and interest holders would receive under a Chapter 7 liquidatio16 The Plan is proposed in good faith. 17 9. The Debtor is in compliance with all of the fee requirements set forth in 28 U.S.C. 18 1930 and will pay outstanding costs owing, if any, in full on the Effective Date. 19 10. The Plan is feasible. As is provided for in the Disclosure Statement, the Refun20 Claim is the primary source of funds to pay claims under the Plan. Based on the informatio21 presented in connection with the Estimation Motion, the Court has indicated that it is more probabl22 than not that the Debtors would obtain refunds, and limit the CDTFA’s claims, in the amounts state23 in the Estimation Motion. As set forth in the liquidation analysis, assuming at least $4.5 million i24 recovered in connection with the Refund Claim, the Plan should be able to go effective without th25 necessity of seeking the agreement of any holder of an Allowed Claim to receive treatment oth26 than payment in full. 27 11. The Debtors believe they will recover in excess of $4.5 million in connection wit

1 believe they will be able to obtain the agreement(and already have the agreement in principle) fro2 sufficient holders of Allowed Claims for alternative treatment under the Plan which would enabl3 the Plan to go effective. 4 12.
