I am the President of Scott’s Sacramento River, Inc.(“Scott’s”). Scott’s is a finedining establishment located at 1020 Captain’s Table Road #3, Sacramento, CA 95822. Scott’soperates within restaurant space (“Premises”) in theWestin Sacramento hotel property located at4800 Riverside Blvd., Sacramento, CA 95822 (the “WS Hotel”). Scott’s leases the Premises pursuant to that certainlease dated September 10,2002 and subsequent amendments (“Lease”). A true and correct copy of the Lease andsubsequent amendments is included in this Motion forClarification as Exhibit “A”. On June 14, 2021, I received a letter from GabrielA. 2021. The letter identified Mr. Morgan as counsel for Madison Phoenix, LLC (“Buyer”). Theletter further identified Buyer as the purchaser ofcertain assets arising from the bankruptcy caseof EHT US1, Inc. (“Debtor”) which I now know is presently pending in the United StatesBankruptcy Court for the District of Delaware (“BankruptcyCase”). Among other items, the letter advised that Buyerintended to close on the sale ofthe Hotel on June 24, 2021. Furthermore, it directed Scott’s to vacate the Premises by July 14,2021. A true and correct copy of the letter is included in this Motion for Clarification as Exhibit“B”. Upon receipt of Mr. Morgan’s letter, I immediatelycontacted counsel regardingthe same. Additionally, I, along with my bookkeeper reviewed our records to determine if wereceived anything concerning the Bankruptcy Case. Our search revealed that we received the followingdocuments related to theBankruptcy Case via regular mail: ● Notice of Sale, Bidding Procedures, Auctions, and Sale Hearing (“Notice of SaleHearing”) (ECF No. 511); ● Notice of Cure Costs And Potential Assumption and Assignment of ExecutoryContracts and Unexpired Leases In Connection withSale Transaction (“Notice of Assumptionand Assignment”) (ECF No. 521); I do not recall when these documents arrived. Moreover,I do not recall personallyreviewing these documents at any point. Because thesedocuments were not directed to myattention, I had no basis for determining that Scott’spossessory interest in the Premises was injeopardy or that any action was required. Had I suspectedin any way that these documentswould have led to Scott’s being forced to vacate thePremises, I would have immediatelycontacted my counsel to discuss the matter.

Under these circumstances, forcing Scott’s to vacate the Premises would bemanifestly unjust and devastating for the businessand WS Hotel. Scott’s is a successful,well-known Sacramento institution. Were Scott’s forced to vacate the Premises, it would costjobs, livelihoods, and ultimately detract from theprofitability of the WS Hotel.
