I, Corey R. Weber, declare: 1. I am over the age of 18. Each of the facts contained in this declaration is based on personal knowledge and, if called as a witness, I could and would competently testify as to these facts. I am admitted pro hac vice to practice before this Court and a partner at Brutzkus Gubner Rozansky Seror Weber LLP, counsel for the City of Long Beach and the City of Long Beach, a municipal corporation acting by and through its Board of Harbor Commissioners. 2. I make this declaration in support of the Objection of the City of Long Beach (the “City”) to the assumption, assignment and sale of leases between the City and debtor Urban Commons Queensway, LLC in the Motion of Debtors for Entry of Orders (I) Approving (A) Bidding Procedures, (B) Designation of Stalking Horse Bidder and Stalking Horse Bidder Protections, (C) Form and Manner of Notice of Sale, Auctions, and Sale Hearing and (D) Assumption and Assignment Procedures, (II) Scheduling Auctions and Sale Hearing, (III) Approving (A) Sale of Substantially All of Debtors’ Assets Free and Clear of Liens, Claims, Interests, and Encumbrances, and (B) Assumption and Assignment of Executory Contracts and Unexpired Leases, and (IV) Granting Related Relief (Docket No. 334) (the “Motion”). All of the documents referred to herein were received, sent, or prepared by Brutzkus Gubner Rozansky Seror Weber LLP and maintained in the ordinary course of its business. 3. After inquiry to the Debtors’ counsel as to the breakdown of the proposed cure amount listed in the Cure Notice, the Debtors’ counsel sent an e-mail on March 31, 2021 stating that the amount of $748,157.40 includes: “4 months of deferred ground rent (in the aggregate amount of $100,000)”, “unpaid Carnival pass through rent (in the amount of $636,477.40, including $266,170.00 in cash reserves)” and “other payables (in the aggregate amount of $11,680.00).” The Debtors’ counsel stated that “[t]he above amounts do not include any non-rent (including non-monetary) defaults.” A true and correct copy of the e-mail is attached hereto as Exhibit A. 4. On January 28, 2021, I sent a letter advising counsel for the Debtor of lawsuits and claims that had been filed against the City relating to alleged injuries sustained while on the

leased premises. A true and correct copy of the e-mails and attached letter are attached hereto as Exhibit B. 5. On February 9, 2021, my firm sent a follow-up letter from me to Debtor’s counsel advising the Debtor’s counsel that new lawsuits had been filed against the City relating to alleged injuries sustained while on the leased premises. A true and correct copy of the e-mail and attached letter are attached hereto as Exhibit C. 6. I sent a follow-up e-mail on February 17, 2021 stating “following up on my two letters to you regarding the City’s request for confirmation that Urban Commons is honoring its obligations under the lease to indemnify, defend and hold the City harmless regarding the lawsuits. Time is of the essence given that the claims are part of pending litigation.” A true and correct copy of the e-mail is attached hereto as Exhibit D. 7. On February 24, 2021, I received an e-mail from Amy Gagnet of Liberty Mutual Insurance regarding the tender of the lawsuit and claims by Patty Dougherty acknowledging receipt of the tender letter and requesting a copy of the Lease. A true and correct copy of the e-mail and follow-up e-mails are attached hereto as Exhibit E. My firm provided a copy of the Lease to Ms. Gagnet the same day. My e-mail records do not reflect having received a substantive response regarding the remaining claims.
