Liquidation Trust (the “Trust”) established in the above-captioned chapter 11 cases (the “Chapter 11 Cases”) of Cred Inc. and its affiliated debtors (collectively, the “Debtors”), hereby certifies as follows: 1. On March 11, 2021, the Court entered the Order Confirming and Approving on aFinal Basis Modified First Amended Combined Plan of Liquidation and Disclosure Statement of Cred Inc. and its Subsidiaries Under Chapter 11 of the Bankruptcy Code [Docket No. 629] (the “Confirmation Order”), thereby confirming the Modified First Amended Combined Plan of Liquidation and Disclosure Statement of Cred Inc. and Its Subsidiaries Under Chapter 11 of the Bankruptcy Code [Docket No. 629-1] (as amended, the “Plan”).2 The Plan became effective on April 19, 2021 (the “Effective Date”). See Docket No. 730. 2. Pursuant to Article 12.8 of the Plan: Upon the Effective Date, the Chapter 11 Cases for the Debtors,except for Cred, shall be deemed closed, and the LiquidationTrustees shall submit separate orders to the Bankruptcy Courtunder certification of counsel closing each such Chapter 11 Case. 1 The Debtors in these chapter 11 cases, along with the last four digits of each debtor’s tax identification number, as applicable, are as follows: Cred Inc. After all Causes of Action and Disputed Claims have been resolved, the U.S. Trustee Fees have been paid, all of the Estates’ Assets have been distributed in accordance herewith, or at such earlier time as the Liquidation Trustees deem appropriate, the Liquidation Trustees shall seek authority from the Bankruptcy Court to close the Chapter 11 Case for Cred, in accordance with the Bankruptcy Code, the Bankruptcy Rules, and the Local Bankruptcy Rules. Plan, Article 12.8. 3. The Confirmation Order similarly requires that the Liquidation Trust close thechapter 11 cases of Cred (US) LLC, Cred Capital, Inc., Cred Merchant Solutions LLC, and Cred (Puerto Rico) LLC (collectively, the “Affiliated Debtor Cases”).
