(“CLMG”), as agent for the Lender, is filing this Notice of Disposition of Collateral (“NDC”) for the sale of the Property. The Plan Administrators may object to the proposed sale by filing an objection with the court within five (5) business days of agent’s filing of the NDC. Request for Sale of Property CLMG proposes executing a contract for the sale of the Property, pursuant to the terms of a Letter of Intent (“LOI”) submitted by the proposed Buyer. The Property is an office/industrial campus, formerly occupied by the Debtor, with approximately 119,801 square feet of gross building area on a 61.99-acre site, located at 6920 and 6970 W. 70th Street, in Shreveport, LA. The financial terms of the LOI, which will be incorporated into a Purchase and Sale Agreement ("PSA"), includes the following basic terms: a) Sale Price: $7,750,000, all cash b) Earnest Money: $100,000 c) Feasibility: 60 days d) Close Period: 15 days after feasibility period e) Contingencies: Title, survey, review of engineering and environmental reports, and leases and contracts. 1 The Debtors in these chapter 11 cases, along with the last four digits of each Debtor’s federal tax identification number, are: BJ Services, LLC (3543); BJ Management Services, L.P. Request and Recommendation The proposed Buyer will deposit $100,000 earnest money, which will become non-refundable upon completion of the 60-day inspection period. CLMG recommends the sale of the Property based on the terms presented herein, for $7,750,000 cash, equal to 82% of the asking price and 99% of current Appraised Value. The estimated net proceeds to be applied to CLMG’s secured claim is approximately $7,130,000.
